The FY2026 10-K (filed 2026-08-14) claims 'Coherent is a global leader in photonic technology' whose 'broad photonic technology platform is foundational to the performance and scalability of AI datacenters', and the NVIDIA relationship hardens it — a 'multi-year strategic agreement with NVIDIA ... includes a multi-billion-dollar purchase commitment ... as well as future access and capacity rights', plus a $2 billion NVIDIA equity investment. But the largest line remains standardized, contested transceivers where LightCounting's May 2026 vendor landscape reports 'Eoptolink reached the #2 rank for the first time in 2025, surpassing Coherent.' Real advantages, contested largest market: narrow, not wide.

narrow

The FY2025 20-F Competition section cuts both ways: UMC calls itself "one of the world's largest independent semiconductor foundries" with production capacity "currently among the largest of all semiconductor foundries in the world" and says it believes it competes favorably with competitors on each principal element of foundry competition, yet in the same section concedes that "[s]ome of our competitors have substantially greater production, financial, research and development and marketing resources than we have" and that "several new dedicated foundries have commenced operations and compete directly with us," whose entry is "likely to initiate a trend of competitive pricing and create potential overcapacity in legacy technology" that "may erode our profit margins." A real but bounded advantage, not a durable wide one.

An independent tracker places FormFactor in a small group of suppliers, but the same tracker expects it to lose the top spot. TrendForce's June 2026 report on the probe card market (Part 2, 2026-06-26, https://www.trendforce.com/research/download/RP260626XO3) says 'FormFactor, Technoprobe, and MJC dominate, while Taiwan's CHPT, MPI, and WinWay gain share riding the AI wave'. It describes the economics as 'Consumable probe tips create a high-margin hardware subscription model; repair and replacement fees are key profit drivers'. Its outlook reads: 'Total revenue is forecast to surge sharply in 2026, with Technoprobe poised to overtake FormFactor as the top global supplier.' FormFactor's own margins over the last three fiscal years do not show exceptional returns. TradingPilot's fundamentals record from the FY2025 10-K (https://www.sec.gov/Archives/edgar/data/1039399/000103939926000009/0001039399-26-000009-index.htm) shows gross profit of $258.6M on $663.1M of revenue in FY2023, $307.9M on $763.6M in FY2024 and $308.9M on $785.0M in FY2025. Gross margin has since risen to 50.7% (GAAP) in Q2 2026. A defended place among three dominant suppliers, but one whose rank is slipping to a rival, is a narrow moat rather than a wide one.

The FY2026 10-K grounds the advantage in the technology platform itself: 'Coherent is a global leader in photonic technology. Our broad photonic technology platform is foundational to the performance and scalability of AI datacenters. AI runs on compute, but it scales on optical connectivity' — materials-to-device photonics know-how, including the indium phosphide capacity it is expanding in Sherman, Texas 'to address our increased customer demand and industry-wide shortage.'

The 20-F states plainly that "Our success depends on our ability to obtain patents, licenses and other intellectual property (IP) rights covering our production processes and activities," and reports more than 16,700 patents worldwide as of December 31, 2025, of which more than 7,490 are in the U.S., 623 domestic and foreign patents granted in 2025 alone, NT$17,725 million of R&D (7.5% of operating revenues) and 1,591 R&D professionals. The Competition section names where UMC believes it wins: it competes favorably "particularly [on] our technical competence and research and development capabilities." The proprietary specialty-process library, not scale or a network, is the cited source of the advantage.

intangibles ip

The tracker locates the advantage in proprietary probe technology. TrendForce's Part 1 report (2026-06-23, https://www.trendforce.com/research/download/RP260623JC3) says 'MEMS has become the mainstream probe process; proprietary tip alloy formulas are now the key differentiator for current capacity and longevity'. FormFactor's own example is SmartMatrix, its full-wafer contactor for high-bandwidth memory (HBM). On the Q1 2026 call (https://www.fool.com/earnings/call-transcripts/2026/04/29/formfactor-form-q1-2026-earnings-transcript/), management called it 'FormFactor's differentiated Smart Matrix full wafer contactor technology'. The consumable-tip model TrendForce describes is a recurring-revenue feature of the product rather than a separate lock-in, so intangibles/IP is the better-supported moat source.

Leadership co leader

The FY2026 10-K asserts 'Coherent is a global leader in photonic technology', but in its dominant product category LightCounting's May 2026 update reports 'Eoptolink reached the #2 rank for the first time in 2025, surpassing Coherent' behind leader Innolight — a top-tier but not #1 position in transceivers.

fast follower

UMC describes a deliberate follow strategy in the 20-F: it intends "to avoid investments in technologies that do not present commercial potential for volume production" and believes "it is beneficial to defer investment in premature equipment needed to claim the earliest advanced technology and instead to purchase more advanced and less expensive versions of such equipment from vendors who design this equipment based on pre-production lessons learned from the earliest technology." The node ladder bears this out: the most advanced process in production in 2025 is Fab 12A's 0.014 micron, wafers at 14 nanometers and under rounded to 0.0% of wafer sales in each of 2023, 2024 and 2025, and the next rung — UMC's own 12nm FinFET process, which Intel replicated in 2025 "based on our electrical design rules and UMC-verified process" for manufacture at its Arizona fab — is only "expected to begin in 2027."

co leader

TrendForce's Part 2 report (2026-06-26) names 'FormFactor, Technoprobe, and MJC' as the dominant suppliers and says 'Total revenue is forecast to surge sharply in 2026, with Technoprobe poised to overtake FormFactor as the top global supplier', which implies FormFactor holds the top rank now and that TrendForce expects it to lose that rank. In logic, the rival reports a large position. Technoprobe's May 2026 company presentation (https://www.technoprobe.com/wp-content/uploads/2026/05/Technoprobe-Company-Presentation-May-2026.pdf, citing Yole's Q3 2024 test consumables monitor) gives Technoprobe 'Market Share: 34%' of the $1.6 billion 2024 logic probe card market and 60% of the $937 million MEMS logic probe card market. TrendForce gives no percentage for FormFactor. A shared front rank, with the overall lead forecast to pass to Technoprobe, is co-leadership.

Pricing power moderate

Fiscal 2026 Datacenter & Communications segment profit grew faster than revenue (47 percent versus 40 percent per the 10-K), and the filing cites an 'industry-wide shortage' behind its indium phosphide expansion; against that, the transceiver category's standardization and rising rival capacity keep pricing power moderate rather than strong.

source: sec.gov

weak

The 20-F claims no premium — "our current level of pricing is comparable to that of other leading foundries in each respective geometry" — and reports that 2025 average selling price declined 5.4%, driving gross margin down from 32.6% in 2024 to 29.0% in 2025 even as 12-inch-equivalent wafer shipments rose from 3,446 thousand to 3,870 thousand and average capacity utilization improved from 68.7% to 75.2%. It also notes that "[p]rices for wafers of a given level of technology generally decline over the processing technology life cycle."

moderate

Gross margin sat near 39-40% for three years, per TradingPilot's fundamentals record from the FY2025 10-K ($258.6M on $663.1M, $307.9M on $763.6M and $308.9M on $785.0M for FY2023-FY2025). It then jumped. The Q2 2026 results release (https://seekingalpha.com/pr/20600102, 2026-07-29) reports GAAP gross margin of 50.7%, against 38.4% in Q1 2026 and 37.3% in Q2 2025, and guides Q3 2026 to 52.0% plus or minus 1.5%. Management attributes the gain to cost and yield rather than price. On the Q1 2026 call it said 'pricing really is not a driver of the gross margin improvement. It's COGS reduction and our operations team continuing to improve yields and cycle times'. TrendForce describes consumable probe tips as 'a high-margin hardware subscription model'. Margins are higher now, but FormFactor itself does not credit price for the improvement.

Summary

AI datacenter optics is now the engine: Datacenter & Communications revenue rose 40 percent to $5,275 million in fiscal 2026 with segment profit up 47 percent to $1,330 million, 'driven primarily by transceivers', and NVIDIA both committed multi-billion-dollar purchases with capacity rights and invested $2 billion in the company — while the transceiver league table stays contested, with LightCounting placing Coherent third behind Innolight and Eoptolink.

UMC's durable asset is a proprietary mature- and specialty-node process library — 55/40/28/22nm embedded memory for MCU and automotive, 55/40/28/22/14nm embedded high-voltage for display drivers, 110/55nm BCD for power management, 55/28/22nm BSI-CSI for image sensors and 110/90/55/40nm RF-SOI — backed by more than 16,700 patents worldwide at end-2025 and 7.5% of revenue spent on R&D. That library keeps a concentrated customer base qualified into UMC's fabs (top ten customers were 57.0% of 2025 operating revenues; Texas Instruments, Intel, MediaTek, Realtek and Novatek are named as primary customers). What it does not buy is price: 2025 average selling price fell 5.4% and gross margin fell from 32.6% to 29.0%, while the filing warns that new dedicated foundries are likely to initiate competitive pricing and overcapacity in legacy technology.

FormFactor makes probe cards, the consumable interfaces used to test chips at wafer level, for foundry and logic customers and for DRAM including HBM. It also has a Systems business, whose co-packaged-optics probing products management said on the Q1 2026 call were ramping. TrendForce's June 2026 probe card reports name FormFactor, Technoprobe and MJC as the dominant suppliers. They say MEMS probes are now mainstream, with 'proprietary tip alloy formulas' the key differentiator. They describe consumable probe tips as 'a high-margin hardware subscription model', with order visibility stretching 'from one quarter to up to two years'. FormFactor is benefiting: Q2 2026 revenue was $258.2 million, up 31.9% year over year, and GAAP gross margin was 50.7% against 37.3% a year earlier. On the Q1 2026 call, management said a second HBM customer was increasing adoption of SmartMatrix, and that networking probe cards had made a leader in high-performance compute a 10% customer. The limits are competitive. TrendForce forecasts that Technoprobe will overtake FormFactor as the top global supplier in 2026, and says Taiwanese suppliers CHPT, MPI and WinWay are gaining share. Technoprobe's May 2026 presentation, citing Yole, puts its own share at 34% of the 2024 logic probe card market and 60% of MEMS logic probe cards.

Chain position

Optical-connectivity supplier to AI datacenters — transceivers, datacenter interconnect and lasers — now with NVIDIA purchase commitments and equity on its cap table.

Mature- and specialty-node wafer supplier: 2025 wafer sales were 41.4% communication, 30.6% consumer and 11.6% computer, with the AI tie indirect — 2.5D silicon interposers with deep-trench capacitors shipped to major customers for HPC, cloud computing and LLM applications.

A wafer-test consumables supplier between chipmakers and tester makers. Its customers include HBM and DRAM makers and foundry/logic chip designers. TrendForce's Part 1 report (2026-06-23) says 'Advantest and Teradyne have taken stakes in Technoprobe, FormFactor, and MJC, signaling accelerated vertical integration ahead.'
