Moat rating narrow

The 2025 annual report (published 2026-03-12) says 'ASM is the leader in the fast-growing single-wafer ALD market – with a market share of 55%+ (ASM estimate, Investor Day 2025)'. It says ASM 'maintained leadership with our market share surpassing 55%' as the industry moved from FinFET to GAA. And it says that 'Based on the breadth of our R&D engagements and critical production-tool-of-record (PTOR) selections already secured in 2025, we expect to at least maintain our market share' into the 1.4nm node. The Q2 2026 results (https://www.asm.com/media/y0mkxj21/20260728-asm-reports-second-quarter-2026-results.pdf) say the 1.4nm node is on track for its first meaningful contribution in the second half of 2026, 'reflecting increased market share gains in both ALD and Epi'. 2025 gross margin was 51.8%. That is a strong, profitable position, but every share figure behind it is ASM's own estimate or expectation, and no independent share source supports it, so the rating is narrow rather than wide. The exposures also weigh: the five largest customers took about 53.6% of 2025 revenue and China more than 30%, and the report describes the main competitors as 'much larger companies from the United States and Asia'.

The FY2026 20-F rests on two entrenched positions: a commerce ecosystem the filing ties to 'the world's largest online retail market' with 'over 1.1 billion Internet users,' and a cloud business whose 'Cloud Intelligence Group's external revenue growth accelerated to 40% in the final quarter of fiscal 2026, with AI-related products accounting for 30% of this revenue.' Two durable franchises under one roof is a wide moat — bounded by China regulation and US ICTS cloud controls the same filing flags.

The 10-K states that "the majority of our facilities operate as “merchant” facilities without long-term power sales agreements" and that Vistra is "not guaranteed any rate of return on our capital investments". Against that, the scarcity is real: six NRC-licensed nuclear units totalling 6,448 MW, licences running 2036-2053, inside a 43,641 MW fleet, plus 20-year PPAs with AWS (1,200 MW) and Meta (2,609 MW). The 2025 gas additions - Lotus (2,600 MW, closed October 2025) and pending Cogentrix (5,500 MW) - extend the merchant gas side, not the nuclear scarcity. Only the 433 MW of uprates extends the moat asset.

Moat type intangibles ip

The report grounds the ALD lead in accumulated process know-how and patents rather than unit cost: 'ASM has the broadest portfolio of ALD products with innovative ALD reactor designs. Our strength in chemistries and applications using new materials means our customers can meet advanced node technology challenges.' It also cites a LexisNexis PatentSight study finding that 'ASM holds a strong and impactful patent portfolio on its core strength of ALD as measured by both Competitive Impact and Patent Asset Index'. Switching friction reinforces this. Tools enter fabs through PTOR selection, the report notes that 'Failing a customer during a production ramp could create significant problems for them', and installed systems are supported 'with a view to having them in production 24/7 for 20+ years'. But ASM wins those PTOR slots node by node on process capability, which makes IP the primary source.

The 20-F names 'the network effects of our ecosystems' among the factors its business depends on: Taobao and Tmall, Alipay, Amap and the rest compound as buyers, sellers and services reinforce each other across one integrated ecosystem.

The intangibles are non-replicable regulatory assets rather than patents: six nuclear licences (Comanche Peak 2050/2053, Perry 2046, Davis-Besse 2037, Beaver Valley 2036/2047), fuel "contracted to support all our refueling needs through 2030", section 45U credits "recognizing the value of existing carbon-free nuclear power", and TXU Energy, sold "for over 20 years" and "registered and protected by trademark law". Read 45U as a floor, not moat strength: the 2025 credit was $220m against $545m in 2024, and it "provides increasing levels of support as unit revenues decline". Efficient scale does not apply.

Leadership co leader

In single-wafer ALD, which is more than half of equipment sales, the report calls ASM 'the leader' with a 55%+ share. That share is ASM's own estimate; the Investor Day 2025 deck (https://www.asm.com/media/m3jhkm12/asm_investor_day_2025.pdf) sources it to 'ASM internal analysis and TechInsights'. With no independent share source, the band is held at co_leader rather than clear_leader. ASM does not lead every line: 'ASM has the number two share in the Epi equipment market', and in PECVD and vertical furnaces it is 'focused on niche portions of the market'.

The 20-F claims leadership in applied AI ('strengthened our leadership in applied AI') and roots the commerce business in the world's largest online retail market; Alibaba Cloud is the leading China hyperscaler pivoting to AI, per the segment discussion — a category leader in both its home markets.

Vistra describes itself as "one of the largest producers of power in deregulated markets in the U.S." with over 230 TWh generated, "one of the largest competitive power generators in the U.S. as measured by MWh of generation capacity", "one of the largest electricity generators in the U.S.", and "one of the largest competitive residential retail electricity providers". That hedged phrasing appears four times and is the strongest claim the filing makes. The 10-K names no competitor and assigns no rank, so co-leader is the ceiling the disclosure supports.

Pricing power moderate

Gross margin rose from 50.5% to 51.8% in 2025 and was 51.9% in Q2 2026. But the report attributes the 2025 gain to 'a very strong mix, including a continued solid contribution from the Chinese market' and to efficiency programs, not to price. It targets a range of 47% to 51% for 2026-2030, and the Q2 2026 release expects full-year 2026 gross margin 'to be around 51%'. Buyers are concentrated: the 10 largest customers were about 72.3% of 2025 revenue, the five largest about 53.6%, and two customers each contributed more than 10% of total revenue.

Vistra is a merchant price taker. Price formation rests on "the highest variable cost unit that clears the market", prices are "unpredictable and may fluctuate substantially", hedging markets have "limited liquidity after two to three years", and competing retailers "may offer different products, lower electricity prices and other incentives". ERCOT's $2,000/MWh figure is the low system-wide offer cap, applied conditionally when the peaker net margin exceeds three times CONE or under the PUCT Emergency Pricing Program, not a standing cap. PJM has "announced that it would propose" extending its capacity cap to 2028-29 and 2029-30, subject to FERC approval.

Summary

ASM International, headquartered in the Netherlands, makes wafer-processing equipment with a focus on deposition: single-wafer ALD, silicon epitaxy, PECVD, vertical furnaces, silicon-carbide epitaxy and, since its acquisition of Axus in December 2025, CMP. Spares & Services made up 23% of 2025 revenue. ALD is the core. It was the largest product line, 'clearly accounting for more than half of our equipment sales', and ASM estimates its single-wafer ALD share at 55%+. The report frames ALD as increasingly necessary, saying 'ALD is the only deposition technology capable of meeting the coverage and film-property requirements for complex 3D structures', and expects ALD layers to grow in GAA transistor stacks, backside-power architectures and future 4F² DRAM. Epitaxy is the second-largest line: the report says ASM holds the number two share there and lifted its leading-edge share from 12% in 2020 to 25% in 2024, both by ASM's own figures. 2025 revenue reached a record €3.2 billion at a gross margin of 51.8%; per the Q2 2026 results, Q2 2026 revenue was €1,003 million at 51.9%. The exposures are customer concentration (the five largest customers were about 53.6% of 2025 revenue), geography (Asia was 80% of revenue and China more than 30%), and export restrictions that the report says are 'impacting our ability to sell and service systems in certain jurisdictions and for certain customers'.

Alibaba is a commerce network and an AI cloud fused into one ecosystem. The retail side draws its moat from network effects the filing names explicitly, rooted in the world's largest online retail market; the cloud side is pivoting hard into AI — Alibaba Cloud's 'growth engine fully pivots from traditional compute and storage to models, AI compute, and agent services,' anchored by the in-house Qwen family (Qwen3.7-Max 'specifically engineered for agents') and the PAI platform. The 20-F's own framing is 'leading full-stack capabilities across the AI value chain.' The counterweights are structural rather than competitive: a Cayman VIE structure, China's regulatory environment, and the US Commerce Department's proposed ICTS cloud-computing controls the filing discloses.

Vistra's moat is one scarce asset wrapped in a commodity business. Six NRC-licensed nuclear units - 6,448 MW, licences running 2036-2053 - sit inside a 43,641 MW fleet that the 10-K says operates in the majority as "merchant" facilities with no long-term power sales agreements and no guaranteed rate of return. That block cannot be rebuilt by a rival, and is now partly de-risked by 20-year PPAs with AWS (1,200 MW from Comanche Peak) and Meta (2,609 MW from the PJM plants) plus section 45U credits. Everything else - 26,989 MW of gas, 8,743 MW of coal, the 5m-customer retail book - competes on price in markets Vistra does not set, against entrants the filing says keep building "despite relatively low power prices". The 2025 growth was gas M&A (Lotus, pending Cogentrix), which widens the commodity-exposed side. Narrow, for a specific reason: the moat is 15% of the fleet.

Chain position

Upstream wafer-fab-equipment supplier to logic/foundry and memory chipmakers. 'The leading-edge logic/foundry market was the main growth driver for ASM, on the back of 2nm investments' in 2025, advanced-node DRAM was the largest part of memory sales, and Asia was 80% of revenue.

Layer-8 hyperscaler + AI-application incumbent: Alibaba Cloud supplies AI compute and the Qwen models while the commerce ecosystem is a vast applied-AI distribution surface.

Merchant IPP: sells energy, capacity and ancillary services into ISO/RTO spot and short-term wholesale markets (ERCOT, PJM, ISO-NE, NYISO, CAISO, MISO) and resells to ~5m retail customers. Emerging role as long-term nuclear offtake supplier to hyperscalers (AWS, Meta). Not a price setter at any link.
