FY2025 10-K (Item 1, filed 2026-02-09): a proprietary solid-oxide platform protected by 380 active U.S. utility patents plus 183 pending, with speed-to-power the company says can deliver onsite power 'within approximately 90 days' — real but contested advantages: the same 10-K's Item 1A calls distributed generation and hydrogen 'still emerging markets' whose acceptance is uncertain, and revenue concentration was 43%/13%/12% across three customers in FY2025 (sec.gov/Archives/edgar/data/1664703/000162828026006516/be-20251231.htm).

narrow

The FY2025 10-K shows RPO of $28.2 billion, up 27%; customers above $5 million of ACV at 603, 502 and 420 as of December 31 2025, 2024 and 2023; revenue of $13,278 million, up 21%; and a 98% renewal rate for three years. That rate cannot prove durability: the filing computes it excluding "changes in price or users," says it "does not reflect increased or decreased purchases," and warns "period-to-period comparison of renewal rates may not be meaningful." The company also calls its market "characterized by fragmentation, low barriers to entry." Real switching costs plus compounding large accounts support narrow; wide would need durability proof this filing lacks.

Samsung leads three of its four principal markets — Q1 2026 DRAM revenue share 38.5% ($37.32B, TrendForce, https://www.trendforce.com/presscenter/news/20260601-13070.html), Q1 2026 NAND share 31.6% ($13.51B, TrendForce, https://www.trendforce.com/presscenter/news/20260525-13058.html), and #1 in Q2 2026 smartphones at 24% (Counterpoint via Android Authority, https://www.androidauthority.com/counterpoint-research-q2-2026-smartphone-shipment-report-3686931/) — but the moat is narrow, not wide: memory economics are violently cyclical (industry DRAM revenue swung +81% QoQ on contract-price spikes per the same TrendForce release), SK hynix holds the highest HBM bit-shipment mix among the top three (same release), and foundry trails TSMC 6.5% vs ~72% share (TrendForce data via TelecomLead, https://telecomlead.com/semiconductor/global-foundry-market-hits-record-47-95-bn-in-q1-2026-as-ai-chip-demand-drives-growth-tsmc-expands-share-to-72-126247).

Moat type intangibles ip

The FY2025 10-K states 'Intellectual property is an essential differentiator for our business' and details 380 active U.S. utility patents, 252 active international patents, trade secrets around cell printing, and a purpose-built copy-exact Newark manufacturing facility — the moat rests on proprietary solid-oxide technology and manufacturing know-how, not network effects or locked-in customers (Item 1, Intellectual Property / Manufacturing Facilities).

switching costs

The binding force is architecture and configuration. The filing describes "a multi-instance architecture that provides each customer with a dedicated application layer and database," an ITOM product that "maintains a single record of all IT configurable items," and products built to "integrate with existing workflows rather than replace them." Once that record and its integrations are configured, replacement becomes a re-platforming program — our inference, as the filing quantifies no switching cost. Not IP: it holds "over 2,000 issued U.S. and foreign patents" but is not "materially dependent on any single patent." Not network effects.

cost scale

The durable advantage is manufacturing scale and capital intensity: the top three DRAM suppliers take roughly $8.97 of every $10 of industry revenue (Samsung 38.5% + SK hynix 28.8% + Micron 22.4% in Q1 2026 per TrendForce, https://www.trendforce.com/presscenter/news/20260601-13070.html), a structure sustained by multi-billion-dollar fab economics that has admitted no new large entrant in decades; Samsung is the largest-revenue producer in both DRAM and NAND (TrendForce, https://www.trendforce.com/presscenter/news/20260525-13058.html).

Leadership clear leader

Scoped to fuel-cell-based onsite power for datacenters: Energy Changemakers (2026-07-04) positions Bloom as the market leader in fuel-cell deployment for AI datacenters — Brookfield framework expanded $5B→$25B, Oracle up to 2.8 GW, Equinix 100+ MW across 19 US datacenters, AEP gigawatt-scale — with FuelCell Energy the named challenger at smaller aggregate scale (~450/380/360 MW deals). In onsite power broadly (vs. turbines and engines) Bloom is one option among several (energychangemakers.com/fuel-cells-gain-ground-in-data-centers/).

clear leader

The call is scoped to IT service management. Apps Run The World's 2024 ITSM ranking (page dated 23 July 2025) places ServiceNow first at 44.4% share, ahead of Atlassian, BMC, GoTo and Ivanti, in an $11.4 billion market where the top ten hold 83.3%. Scale corroborates: about 8,700 customers, 29,187 employees, $13,278 million of revenue, $28.2 billion of RPO. References to "two decades partnering with enterprise customers" and process knowledge "that cannot be readily replicated" are the filing's own characterisation. Outside ITSM it is weaker: one of six Leaders in the 2025 Gartner LCAP quadrant, and tenth of ten in CRM behind Salesforce at 26.1%.

co leader

Revenue leader in DRAM (38.5%) and NAND (31.6%) in Q1 2026 (TrendForce) and #1 in Q2 2026 smartphone shipments (Counterpoint), but not the leader where AI value concentrates: SK hynix has the highest HBM bit-shipment mix among the top three DRAM suppliers (TrendForce, https://www.trendforce.com/presscenter/news/20260601-13070.html) and TSMC dominates foundry with ~72% share to Samsung's 6.5% (TrendForce via TelecomLead).

Pricing power moderate

Q2 2026 release: GAAP gross margin 33.4%, up 668 bps YoY, with 34.3% non-GAAP and raised FY26 guidance of ~34% non-GAAP gross margin — margin expansion during a supply-constrained turbine market suggests real but cyclical pricing leverage; the FY2025 10-K frames the core competition as grid electricity and combustion OEMs on cost, which caps pricing through the cycle (sec.gov/Archives/edgar/data/1664703/000162828026050150/ex991_q226financialresults.htm).

source: sec.gov

moderate

The filing discloses no average selling price, no net revenue retention and no pricing data, and the renewal rate is no proxy — it "does not reflect increased or decreased purchases" and excludes "changes in price or users." Revenue up 21%, the $5 million-plus cohort up about 20% annually and RPO up 27% are all consistent with expansion at flat pricing. Margins cut the other way: subscription gross profit fell to 80% from 82% with no stated cause, and professional services gross loss widened to 5% from 2%. One real lever is that "certain AI and data solutions include a consumption-based pricing component."

source: sec.gov

moderate

Current pricing is extraordinary but cyclical, not structural: conventional DRAM contract prices rose roughly 93-98% QoQ in Q1 2026 (TrendForce, https://www.trendforce.com/presscenter/news/20260601-13070.html) — shortage-driven commodity pricing that reverses in downcycles. The set-side shows the limit: Samsung's own MX (smartphone) division posted a KRW 0.7 trillion operating loss in Q2 2026 on elevated component costs (Samsung Newsroom, https://news.samsung.com/global/samsung-electronics-announces-second-quarter-2026-results).

Summary

Bloom's edge is a single solid-oxide platform — 'cell printing, stack assemblies, and column configurations' — that serves both the Energy Server and the Bloom Electrolyzer, protected by 380 active U.S. patents and decades of materials know-how (FY2025 10-K, Item 1). Against its practical competition — grid power, gas reciprocating engines, small gas turbines, and other fuel-cell chemistries (PEM/MCFC/PAFC) — the 10-K claims higher efficiency, no combustion, 99.9% fleet availability on post-2020 non-redundant installs, and deployment in weeks-to-months while turbine OEMs are supply-constrained. That time-to-power window is currently being monetized in AI datacenters: the Q2 2026 release (2026-07-28) reported record revenue of $1,065.4M (+165.5% YoY) and management said all major U.S. hyperscalers have 'validated and approved' Bloom, calling it 'a standard for AI onsite power.' The moat is rated narrow, not wide: the 10-K's own risk factors stress that distributed generation is an emerging market with uncertain acceptance, three customers were 43%/13%/12% of FY2025 revenue, and industry coverage (Energy Changemakers, 2026-07-04) shows FuelCell Energy signing deals of comparable scale — the advantage is a technology-and-execution lead that rivals and turbine capacity additions can compress, not a structural lock.

ServiceNow sells a workflow platform that sits on top of, rather than replaces, an enterprise's existing systems. Each customer gets a dedicated application layer and database, ITOM maintains a single record of all IT configurable items, and products integrate with existing workflows rather than replace them; once that record and its integrations span IT, HR and customer service, displacement becomes a re-platforming exercise. The evidence is in large commitments: $5 million-plus ACV customers rose from 420 to 502 to 603, and RPO reached $28.2 billion, up 27%, against $13,278 million of FY2025 revenue. The moat is bounded by a market the company itself calls fragmented with low barriers to entry, by larger rivals that can bundle or cut price, and by falling subscription gross margin, 82% to 80%.

Samsung Electronics is the world's largest memory maker and a vertically integrated device company. In Q1 2026 it was #1 in DRAM (38.5% revenue share) and #1 in NAND (31.6%), and in Q2 2026 it retook #1 in global smartphones at 24% share. The AI-datacenter memory shortage produced record results: Q2 2026 company revenue of KRW 171.5 trillion and an all-time-high operating profit of KRW 89.5 trillion, with server memory reaching a record share of the sales mix and HBM4E samples shipped to major customers (Samsung Newsroom). The caveats that keep the moat narrow: the profit pool is a price cycle, not a structural annuity; SK hynix leads the highest-value HBM segment by bit-shipment mix; and Samsung Foundry, at 6.5% share versus TSMC's ~72%, remains a distant second in leading-edge logic despite expanding 2nm design wins.

Chain position

Onsite prime-power supplier to AI infrastructure: per the FY2025 10-K, AEP is procuring up to 1 GW of Bloom fuel cells for AI datacenter loads, Brookfield established a financing framework (up to $5.0B over five years at signing, per the 10-K) housed in an AI Infrastructure Fund, and SK ecoplant (a ~2.5% Class A holder) distributes and co-assembles in Korea; the Q2 2026 release adds that all major U.S. hyperscalers plus over a dozen neoclouds, AI labs, and colocation operators have approved Bloom's systems.

Enterprise workflow platform layered on top of customers' existing systems of record. It consumes public cloud capacity (named relationships with AWS, Google, Microsoft and NVIDIA) plus its own data centers, and reaches customers through a direct sales force, global system integrators (Accenture, Deloitte, EY, Infosys, KPMG) and resale partners. Microsoft is named as both partner and competitor.

Upstream supplier of DRAM/HBM and NAND to the AI datacenter buildout (server memory at a record share of its Q2 2026 sales mix; HBM4E samples shipped to major customers) and a contract foundry, while simultaneously a downstream device maker (Galaxy) that consumes its own components (Samsung Newsroom, https://news.samsung.com/global/samsung-electronics-announces-second-quarter-2026-results).
