The FY2025 10-K publishes the expiry schedule of its own protection. The Patents table dates the basic U.S. product patent on Eliquis ($7,961 million of 2025 revenue) to 2027, the Prevnar family's Prevnar 13 ($6,494 million for the family) to 2026, the Vyndaqel family ($6,380 million) to 2026 with a 2028 extension only pending, Ibrance ($4,122 million) to 2027, Xtandi ($2,194 million) to 2027 and Xeljanz ($1,087 million) to 2026 - against Total revenues of $62,579 million. The filing then states it anticipates 'a significant reduction of revenue from patent-based or regulatory exclusivity expiries in 2026 through 2030 as several of our in-line products experience these expirations, with the rate of the reduction of revenues from patent-based or regulatory exclusivity expiries expected to significantly accelerate over the next few years', and puts the 2026 instalment at $1.5 billion. A protection whose end dates the issuer tabulates product by product, and whose revenue effect it forecasts as accelerating, is being consumed on a clock it has already disclosed.

The FY2025 10-K says 'we believe we have established a defensible competitive advantage through our power-first, innovation-driven strategy', resting on a power-native team, an application-agnostic framework for digital infrastructure design, end-to-end greenfield development capabilities, and the use of ASIC compute builds to rapidly and cost-effectively secure and monetize power. What separates this from no moat is scarce power: the filing says demand for energy capacity continues to outpace supply and that 'grid interconnection bottlenecks have further constrained access to power and digital infrastructure development', and Hut 8 reports 330 MW of utility capacity under construction at River Bend, commercialized in December 2025 through a 15-year triple-net lease supporting 245 MW of IT capacity, plus 1,230 MW of utility capacity under development. The same filing says 'The industries in which we operate are highly competitive and continuously evolving.', warns that these factors 'might not provide the competitive advantage we anticipate, or if they do, such competitive advantage might not endure', cites the River Bend lease (valued at $7.0 billion over the base term) as an example of expecting a significant portion of revenue from a limited number of customers, and says the company has not maintained consistent profitability. That supports narrow at most, not wide.

The FY2025 10-K prints a network comparison for calendar year 2024: Visa at $13,433B payments volume, 311B total transactions and 4,805M cards, against Mastercard's $8,014B / 204B / 3,146M and American Express's $1,750B / 12B / 147M. Footnote (1) sources the American Express, Diners Club / Discover, JCB and Mastercard data to The Nilson Report issue 1288 (June 2025); Visa's own line is Visa's own data. On that table Visa's payments volume is roughly two-thirds larger than the next network's, and the same section states 'Based on available data, Visa is one of the largest retail electronic funds transfer networks used throughout the world.' The rating is wide because the lead rests on a two-sided installed base the filing quantifies — nearly 5 billion payment credentials and more than 175 million merchant locations across more than 200 countries and territories — which an entrant would have to reassemble on both sides at once. The table is a single-year snapshot with no prior-year column, so it evidences the size of the lead, not its direction.

Moat type intangibles ip

The filing locates the protection in the patent estate, not anywhere else. The Patents and Other Intellectual Property Rights section tabulates 'the patent rights we consider most significant in relation to our business as a whole, together with the year in which the basic product patent expires', and states that once protection is lost 'we typically lose market exclusivity on these products, and generic and biosimilar pharmaceutical manufacturers generally produce identical or highly similar products and sell them for a lower price.' The Competition section names patents as the thing rivals attack: 'several of our competitors operate without large R&D expenses and make a regular practice of challenging our product patents before their expiration', and 'Generic pharmaceutical manufacturers pose one of the biggest competitive challenges to our branded small molecule products because they can market a competing version of our product after the expiration or loss of our patent protection.' No network, switching cost or cost-curve advantage is claimed anywhere in the section.

The 10-K says 'we believe success depends on the ability to secure scarce assets like power, data center equipment, and customers', and places part of its claimed edge in 'our ability to use ASIC compute infrastructure development to rapidly and cost-effectively secure and monetize power'. Its examples: Vega was energized less than a year after acquisition for an all-in cost of about $455,000 per megawatt, which the filing calls 'a fraction of traditional data center costs', and Salt Creek was completed for about $250,000 per MW; Vega also has immediate access to some of the lowest locational wholesale power prices in North America. These are low-redundancy ASIC compute builds, which the 10-K says carry relatively low capital intensity by design. The 'fraction of traditional data center costs' comparison is against a different facility tier, and the filing gives no peer cost comparison and no cost figure for its AI campuses.

network effects

Visa itself names the two sides as the source of advantage: 'We believe our fundamental value proposition of security, convenience, speed and reliability as well as the number of payment credentials and our acceptance footprint help us to succeed.' In fiscal 2025 the 10-K counts nearly 5 billion payment credentials, which it defines as issued Visa card accounts, available at more than 175 million merchant locations, with nearly 14,500 financial institutions among the clients that build payment programs on Visa products. The two bases are joined through VisaNet in what the filing calls the 'four-party' model. Neither side is worth joining without the other, so the advantage is the mutual pull of the two installed bases rather than a patent estate or a cost curve.

Leadership co leader

The 2026 Pharma 50 (Drug Discovery & Development, published 31 March 2026, ranking pharmaceutical revenue only) places Pfizer third at $62.58 billion of FY2025 revenue inside a five-company band that runs from Johnson & Johnson's Innovative Medicine at $60.40 billion to Eli Lilly's $65.18 billion, with Merck & Co. at $65.01 billion and AbbVie at $61.16 billion in between - scale-equal to its nearest peers rather than ahead of them. The same piece attributes the top slot to Lilly's tirzepatide franchise, which it puts at $36.5 billion combined and says passed Keytruda as the world's best-selling drug; Pfizer's 10-K names no comparable single franchise, discloses no market-share position for any product, and concedes in Item 1A that 'some of our competitors may have competitive, technical or other advantages over us' and that it faces 'an increasing number of potential competitors worldwide, including from China, that have expanded R&D capabilities.'

The 10-K says 'For example, we signed our first large scale single tenant AI data center lease and commenced construction of the site at our River Bend campus.', offered under the statement that to remain competitive with peers it may need to modify aspects of its business model. River Bend was commercialized in December 2025 through a 15-year triple-net lease supporting 245 MW of IT capacity; Fluidstack is expected to serve as tenant and Google is expected to provide a financial backstop, and initial delivery is targeted for Q2 2027. On speed, the filing says 'Through early engagement with Entergy Louisiana, we assumed key interconnection and development functions typically managed by the utility, such as the development of transmission and distribution infrastructure, materially accelerating originally quoted power delivery timelines.', and that Vega was energized 'less than a year after acquiring it'. It also warns that Hut 8 competes against companies 'that may be more established or have greater financial and other resources and/or expertise'. That describes a newer entrant moving quickly, not an established leader.

On the 10-K's CY2024 comparison table, Visa carried 311 billion total transactions and $13,433B of payments volume against 204 billion and $8,014B for Mastercard, the largest competitor listed. American Express is next at $1,750B and 147M cards — under a seventh of Visa's payments volume and under a thirtieth of its cards — with Diners Club / Discover ($253B, 72M cards) and JCB ($319B, 167M cards) smaller still on volume. Visa's line is its own data; the competitor lines are sourced to The Nilson Report issue 1288 (June 2025) per footnote (1).

Pricing power weak

Price is the lever the filing shows moving against it. CMS selected Eliquis - which the 10-K says 'accounted for 13% of Total revenues in 2025' - for the Medicare Drug Price Negotiation Program, and 'its government-set Maximum Fair Price became effective January 1, 2026', with Ibrance and Xtandi following in 2027 and Xeljanz in 2028. In September 2025 Pfizer 'voluntarily agreed' with the U.S. administration to make certain U.S. prices 'more comparable to those in other developed countries' and to sell through the TrumpRx.gov platform 'at significant discounts to current retail prices'. Gross-to-net product revenue deductions rose to $36,374 million in 2025 from $30,048 million in 2023 while Total revenues fell to $62,579 million, and the IRA Medicare Part D Redesign alone 'negatively impacted our 2025 revenues by approximately $1 billion'. Lower U.S. net price is named as a drag on Vyndaqel, Ibrance, Xeljanz, Nurtec ODT and Lorbrena; every 2025 growth line the filing explains is attributed to demand, patient share or launch uptake, none to price. Cost of sales at 25.7% of revenues shows the manufactured margin is intact - what is not intact is the ability to set the price.

The 10-K says ASIC compute, run through American Bitcoin, can only be profitable if hardware and electricity costs are below the price of the Bitcoin mined, which makes it a price-taking business. It also says Traditional Cloud and AI Cloud compete with cloud services providers for customers, and that the company has not maintained consistent profitability. River Bend's contracted triple-net lease economics are not in service yet; initial delivery is targeted for Q2 2027.

Visa's own take is insulated from the fees regulators target: it sets default interchange rates but does not collect them — the 10-K says 'Generally, IRFs are paid by acquirers to issuers' and that 'the fees we receive from issuers and acquirers are not derived from IRFs or MDRs.' The reported margin is high but moved down in fiscal 2025: operating income of $23,994M on $40,000M of net revenue is a 60.0% operating margin, against 65.7% ($23,595M on $35,926M) in fiscal 2024. The cause is printed two lines above operating income in the same statement — the litigation provision rose from $462M to $2,562M — and the filing says litigation provisions 'do not correlate to the underlying performance of our business' and that it excludes them 'to facilitate a comparison to our past operating performance.' Adding that provision back to operating income in both years leaves 66.4% against 67.0%, so the pricing base held and the decline is a legal charge, not a fee concession. The real limits are indirect: Dodd-Frank and the EU IFR cap interchange Visa never earns, client incentives are paid back to clients and rise with payments volume, and the UK Payment Systems Regulator holds 'wide-ranging powers and authority to review our business practices, systems, rules and fees with respect to promoting competition and innovation in the UK, and ensuring payment systems take care of, and promote, the interests of service users.'

Summary

Two clocks run in opposite directions inside the same company. The revenue base is near-dated: Eliquis, the Prevnar family, the Vyndaqel family, Ibrance, Xtandi and Xeljanz all carry U.S. basic product patents expiring 2026 or 2027 in the 10-K's own table, and the filing warns the resulting revenue loss will 'significantly accelerate over the next few years'. The replacement book is later-dated - Padcev and Lorbrena to 2033, Nurtec ODT and Litfulo to 2034, Prevnar 20 to 2035, Abrysvo, Cibinqo and Elrexfio to 2036, Comirnaty and Paxlovid to 2041 - but in 2025 it was still much smaller, and the two products with the longest patent runway are the two the filing says are shrinking fastest (Comirnaty down 20% and Paxlovid down 59% operationally). The 10-K's answer is purchased pipeline rather than defended position: it cites the Seagen and Metsera acquisitions as 'significant investments in obesity and oncology, respectively, which are extremely competitive therapeutic areas', while R&D expense itself fell 4% to $10,437 million. Excluding Comirnaty and Paxlovid the remaining business grew 6% operationally in 2025, which is the honest measure of what is being rebuilt underneath the expiries. A third pressure sits on top of the patent clock and is independent of it: government price-setting now reaches the largest product in the book.

Per its FY2025 10-K, Hut 8 is a power-first infrastructure developer. It originates powered land and interconnections, uses ASIC compute builds, which the filing says combine relatively low capital intensity with rapid deployment, as a transitional load to monetize sites sooner, and aims to transition suitable power assets to higher-return uses; its River Bend campus was commercialized through a 15-year AI data center lease. The filing claims a defensible advantage but warns it might not provide the advantage anticipated, or might not endure. It says Hut 8 competes for powered land with digital infrastructure developers and large-scale Bitcoin miners, and its first AI campus is still under construction. Its majority-owned Bitcoin miner, American Bitcoin, can only be profitable when mining costs are below the price of the Bitcoin mined, and the filing says it believes American Bitcoin must keep acquiring miners to keep up with a growing global network hashrate.

Visa runs the switchboard, not the bank. The FY2025 10-K is explicit that 'Visa is not a financial institution. We do not issue cards, extend credit or set rates and fees for account holders of Visa products nor do we earn revenue from or bear credit risk with respect to any of these activities.' That disclaimer is scoped to issuing and credit extension, not to risk at large — the same filing says indemnifying issuers and acquirers for one another's settlement failures 'creates settlement risk for us' because of the timing gap between a payment transaction and its settlement. What Visa earns is service, data-processing and international-transaction revenue, reduced by client incentives, for moving other people's money: 329 billion payments and cash transactions carried the Visa brand in fiscal 2025, 258 billion of them processed by Visa, an average of 901 million a day across more than 200 countries and territories on $17 trillion of total payments and cash volume. The pull between nearly 5 billion credentials and more than 175 million merchant locations is what a rival would have to buy on both sides at once. The filing is candid about what is arriving anyway: real-time payment networks have launched in at least 80 countries behind 'strong government sponsorship and regulatory initiatives' the filing names as FedNow, PIX and UPI; B2B blockchain payments including stablecoins 'can operate globally 24/7' for cross-border transactions; and Dodd-Frank and the EU IFR both cap interchange and limit network exclusivity and routing restrictions.

Chain position

Demand side of the AI chain, not a supplier into it. The 10-K lists 'Scale AI across our business' as one of four 2026 key priorities and describes 'expanding automation, data-driven decision making, and enterprise AI solutions', crediting 'enhanced digital enablement, including automation and AI' for part of the savings in its cost-realignment and R&D-simplification programs. It describes no AI model, tool or platform that Pfizer sells.

Power-first developer building AI data center capacity, beginning with River Bend under a 15-year lease (Fluidstack is the expected tenant and Google is expected to provide a financial backstop; initial delivery is targeted for Q2 2027), and runs Bitcoin mining through majority-owned American Bitcoin.

Both a buyer and a seller of AI inside payments, not an AI infrastructure supplier: the 10-K claims 'early adoption and integration of artificial intelligence (AI) models in payment systems', sells 'risk detection and prevention solutions underpinned by real-time AI-driven scores' to issuers and acquirers, and opens its rails to third-party AI systems 'via on-demand APIs, our MCP server that enables AI systems to interface with our Visa Intelligent Commerce APIs, and fully managed solutions.'
