Moat rating narrow

The FY2025 10-K grounds a real but bounded advantage. Susquehanna produced about 17 TWh in 2025 at an all-in cost of about $27/MWh, and up to 1,920 MW of it is contracted to AWS under a long-term, fixed-price PPA through 2042 'at anticipated premium prices', with deliveries expected to ramp to full volume no later than 2032. The moat is narrow rather than wide because, outside its contracts, the fleet sells into competitive wholesale markets, and the 10-K says that 'unlike regulated utilities, we are not assured of any rate of return on capital investments through a regulated rate structure'. It also concedes that competitors 'may have advantages over us through access to greater resources, newer generation facilities, lower costs, or more experience'. The advantage is also concentrated: Susquehanna has typically been about half of total annual generation.

The FY2025 20-F Competition section cuts both ways: UMC calls itself "one of the world's largest independent semiconductor foundries" with production capacity "currently among the largest of all semiconductor foundries in the world" and says it believes it competes favorably with competitors on each principal element of foundry competition, yet in the same section concedes that "[s]ome of our competitors have substantially greater production, financial, research and development and marketing resources than we have" and that "several new dedicated foundries have commenced operations and compete directly with us," whose entry is "likely to initiate a trend of competitive pricing and create potential overcapacity in legacy technology" that "may erode our profit margins." A real but bounded advantage, not a durable wide one.

Semtech’s FY2026 10-K (fiscal year ended January 25, 2026) supports a narrow moat and no more. On the durable side, it owns the LoRa® radio franchise - “our LoRa® devices and wireless radio frequency technology” - which IoT Analytics’ LPWAN Market 2024 release (https://iot-analytics.com/wp-content/uploads/2024/03/INSIGHTS-RELEASE-LPWAN-Market-2024.pdf) ranks first outside China at 41% of LPWAN connections, and it argues that scarce analog talent “has historically made it more difficult for new suppliers in the analog market to quickly develop products and gain significant market share.” On the limiting side, the same filing says its patents do not “create definitive competitive barriers to entry”, that average selling prices “have historically decreased rapidly”, that some customers “can stop incorporating our products into their own products with limited notice to us and suffer little or no penalty”, and that customers in China (including Hong Kong) were 47% of fiscal 2026 net sales. The record is uneven: its income statement shows gross profit of $296,250 thousand on net sales of $868,758 thousand in fiscal 2024, $456,528 thousand on $909,287 thousand in fiscal 2025 and $542,144 thousand on $1,049,975 thousand in fiscal 2026, and the 10-K says difficulties “have adversely impacted” its ability to realise the benefits of the Sierra Wireless acquisition.

Moat type cost scale

The 10-K says Talen's ability to compete 'is affected primarily by electricity prices, fuel prices, the relative cost of electric generation, and the reliability and availability of generation assets'. The edge it cites is low-cost baseload supply: Susquehanna, the seventh-largest U.S. nuclear plant, produced power at an all-in cost of about $27/MWh in 2025, under NRC licences that expire in 2042 and 2044. The 10-K says natural gas facilities 'often serve as the marginal, price-setting generating units' and that energy margin is influenced by the relationship between electricity and natural gas prices, so a low-cost nuclear unit earns the gap between market price and its own cost. The AWS adjacency is a contract rather than a fleet-wide switching cost, and network effects and IP do not apply.

The 20-F states plainly that "Our success depends on our ability to obtain patents, licenses and other intellectual property (IP) rights covering our production processes and activities," and reports more than 16,700 patents worldwide as of December 31, 2025, of which more than 7,490 are in the U.S., 623 domestic and foreign patents granted in 2025 alone, NT$17,725 million of R&D (7.5% of operating revenues) and 1,591 R&D professionals. The Competition section names where UMC believes it wins: it competes favorably "particularly [on] our technical competence and research and development capabilities." The proprietary specialty-process library, not scale or a network, is the cited source of the advantage.

The defensible assets the 10-K describes are intellectual: the LoRa® radio technology, analog and mixed-signal design expertise - “The development of IP and the resulting proprietary products is a critical success factor for us” - and 303 U.S. and 541 foreign patents. The filing itself discounts the patent part (“we do not believe they create definitive competitive barriers to entry”), which leaves the moat in proprietary technology and scarce design know-how rather than in scale or lock-in: Semtech outsources most manufacturing, sold 74% of fiscal 2026 net sales through independent distributors, and its customer agreements “do not require them to purchase a minimum quantity of our products”.

Leadership at parity

Talen calls itself 'a leading independent power producer', but its merchant output is undifferentiated. The 10-K says it sells into PJM capacity auctions and day-ahead and real-time markets against 'other non-utility generators, regulated utilities and their competitive subsidiaries, industrial companies, financial institutions, and other energy marketers', and that some rivals may have greater resources, newer plants or lower costs. Susquehanna's rank as the seventh-largest U.S. nuclear facility shows scale, not market leadership.

UMC describes a deliberate follow strategy in the 20-F: it intends "to avoid investments in technologies that do not present commercial potential for volume production" and believes "it is beneficial to defer investment in premature equipment needed to claim the earliest advanced technology and instead to purchase more advanced and less expensive versions of such equipment from vendors who design this equipment based on pre-production lessons learned from the earliest technology." The node ladder bears this out: the most advanced process in production in 2025 is Fab 12A's 0.014 micron, wafers at 14 nanometers and under rounded to 0.0% of wafer sales in each of 2023, 2024 and 2025, and the next rung — UMC's own 12nm FinFET process, which Intel replicated in 2025 "based on our electrical design rules and UMC-verified process" for manufacture at its Arizona fab — is only "expected to begin in 2027."

LoRa, the technology Semtech owns, leads outside China; elsewhere Semtech is contesting the front rank. IoT Analytics’ March 21, 2024 release states “When excluding all LPWAN data from China, LoRa has the leading share of global LPWAN connections at 41%—more than double NB-IoT’s share”, though “Globally, NB-IoT has the largest share of LPWAN connections at approximately 54%” and “LoRa’s share of LPWAN connections is decreasing”. In data-center optics, management said on the fiscal Q2 2027 call (TradingKey machine transcript, https://www.tradingkey.com/news/transcripts/262131465-tradingkey) that at “800 gig, we had the market share about 18%. So over the 2 years, we have grown the market share well over 50% for 800 gig”, a company figure; an independent September 2024 newsletter (Deep Fundamental) had instead named Marvell and MACOM “the dominant players” in drivers and TIAs and said Semtech “has struggled to keep pace since the transition to 200G”. A third-party lead measured at the technology level rather than as Semtech’s own share, a company-reported share that the only independent view contradicts, and no ranking for its other lines do not evidence co-leadership, so the band is fast follower.

Pricing power moderate

Pricing power is mixed and sits in the AWS contract. The AWS PPA is fixed-price 'at anticipated premium prices' through 2042, and the 10-K says such large-load contracts 'can lock in meaningful premiums'. The Brandon Shores and H.A. Wagner RMR agreements provide FERC-approved annual fixed-cost payments of $145 million and $35 million from June 1, 2025, each including a performance hold-back, and FERC's approval is under appeal by the Maryland Office of People's Counsel; they give revenue certainty rather than pricing power. The merchant remainder takes market prices. The 10-K says gas units 'often serve as the marginal, price-setting generating units', and the PJM auction imposed a capacity price collar with an approximate minimum and maximum of $175/MWd and $325/MWd for the 2026/2027 and 2027/2028 auctions. In the 2027/2028 auction Talen cleared 8,745 MW at $333.44/MWd.

The 20-F claims no premium — "our current level of pricing is comparable to that of other leading foundries in each respective geometry" — and reports that 2025 average selling price declined 5.4%, driving gross margin down from 32.6% in 2024 to 29.0% in 2025 even as 12-inch-equivalent wafer shipments rose from 3,446 thousand to 3,870 thousand and average capacity utilization improved from 68.7% to 75.2%. It also notes that "[p]rices for wafers of a given level of technology generally decline over the processing technology life cycle."

The 10-K describes a market where prices fall: “In the past, we have reduced the average selling prices of our products in anticipation of future competitive pricing pressures”, and Semtech’s products “are typically differentiated in performance but are priced competitively”. Margins have nonetheless climbed with the data-center mix: the fiscal Q2 2027 release (https://www.sec.gov/Archives/edgar/data/0000088941/000008894126000028/smtc-07262026x8k991.htm) reports GAAP gross margin of 53.8% against 52.1% a year earlier and guides fiscal Q3 adjusted gross margin to 58.3% +/- 100 bps, or 63.9% excluding the business held for sale. The release does not separate price from mix.

Summary

Talen's advantage comes from one contracted asset. It owns 90% of the 2.5 GW Susquehanna nuclear plant, which produced about 17 TWh in 2025 at about $27/MWh all-in, and it has agreed to supply the adjacent AWS data campus with up to 1,920 MW under a fixed-price PPA through 2042. The rest of its roughly 13.1 GW fleet at the 10-K date (a total that includes its 2.2 GW nuclear share) includes newly acquired H-class combined-cycle gas plants, intermediate and peaking units, the Brandon Shores and H.A. Wagner units kept running under FERC-approved RMR agreements, and about 800 MW of minority interests in three coal-fired plants. Apart from the RMR units, that fleet sells capacity and energy mainly into competitive PJM markets through capacity auctions, spot markets and futures contracts, and the 10-K notes that, 'unlike regulated utilities, we are not assured of any rate of return on capital investments through a regulated rate structure'. The 10-K's 'Talen flywheel' strategy is to repeat the AWS model with other large-load buyers. Until more of the fleet is contracted, the moat stays narrow and concentrated in Susquehanna.

UMC's durable asset is a proprietary mature- and specialty-node process library — 55/40/28/22nm embedded memory for MCU and automotive, 55/40/28/22/14nm embedded high-voltage for display drivers, 110/55nm BCD for power management, 55/28/22nm BSI-CSI for image sensors and 110/90/55/40nm RF-SOI — backed by more than 16,700 patents worldwide at end-2025 and 7.5% of revenue spent on R&D. That library keeps a concentrated customer base qualified into UMC's fabs (top ten customers were 57.0% of 2025 operating revenues; Texas Instruments, Intel, MediaTek, Realtek and Novatek are named as primary customers). What it does not buy is price: 2025 average selling price fell 5.4% and gross margin fell from 32.6% to 29.0%, while the filing warns that new dedicated foundries are likely to initiate competitive pricing and overcapacity in legacy technology.

Semtech is an analog and mixed-signal chipmaker being reshaped around two franchises. The first is AI data-center connectivity in its Signal Integrity segment - FiberEdge TIAs and drivers for optical transceivers and CopperEdge redrivers for active copper cables - whose net sales the FY2026 10-K reports at $322,608 thousand in fiscal 2026 against $177,033 thousand in fiscal 2024; the March 2026 HieFo acquisition added foundries that make devices for data-center interconnects. The second is LoRa, the long-range, low-power radio that IoT Analytics ranks as the leading LPWAN technology outside China. Around them sit protection devices, sensing and power products, and the IoT Systems business inherited from Sierra Wireless, whose cellular-module unit Semtech has agreed to sell to Compal Electronics for US$62 million (ABI Research, September 9, 2026, https://www.abiresearch.com/market-research/insight/7788486-compal-electronics-takes-semtechs-mantle-t). Momentum is strong: the fiscal Q2 2027 release reports record net sales of $341.9 million, up 33% year over year, and management said data-center revenue hit a record $100 million in the quarter. But the 10-K is frank about limits - rapid ASP erosion, customers that can drop its parts with little notice, 47% of sales to China, competitors that are “much larger and better resourced than we are”, and patents that do not bar entry. Proprietary technology in two growing niches, rather than a locked-in customer base, makes the moat narrow.

Chain position

Supplies nuclear power from Susquehanna to Amazon's adjacent AWS data campus, and sells capacity and energy into the PJM grid.

Mature- and specialty-node wafer supplier: 2025 wafer sales were 41.4% communication, 30.6% consumer and 11.6% computer, with the AI tie indirect — 2.5D silicon interposers with deep-trench capacitors shipped to major customers for HPC, cloud computing and LLM applications.

Semtech sells mostly through independent distributors (74% of fiscal 2026 net sales) to OEMs. In AI data centers its FiberEdge and CopperEdge parts go into the optical transceivers and active copper cables that module and cable makers build, and the 10-K says hyperscale cloud providers “are generally our indirect customers”. Two customers took 14% and 11% of fiscal 2026 net sales, and customers in China (including Hong Kong) 47%.
