Moat rating narrow

An independent tracker places FormFactor in a small group of suppliers, but the same tracker expects it to lose the top spot. TrendForce's June 2026 report on the probe card market (Part 2, 2026-06-26, https://www.trendforce.com/research/download/RP260626XO3) says 'FormFactor, Technoprobe, and MJC dominate, while Taiwan's CHPT, MPI, and WinWay gain share riding the AI wave'. It describes the economics as 'Consumable probe tips create a high-margin hardware subscription model; repair and replacement fees are key profit drivers'. Its outlook reads: 'Total revenue is forecast to surge sharply in 2026, with Technoprobe poised to overtake FormFactor as the top global supplier.' FormFactor's own margins over the last three fiscal years do not show exceptional returns. TradingPilot's fundamentals record from the FY2025 10-K (https://www.sec.gov/Archives/edgar/data/1039399/000103939926000009/0001039399-26-000009-index.htm) shows gross profit of $258.6M on $663.1M of revenue in FY2023, $307.9M on $763.6M in FY2024 and $308.9M on $785.0M in FY2025. Gross margin has since risen to 50.7% (GAAP) in Q2 2026. A defended place among three dominant suppliers, but one whose rank is slipping to a rival, is a narrow moat rather than a wide one.

The FY2026 10-K grounds a real but bounded defence. On the defence side: Item 1 states that in the manufacturing services market "there are significant barriers to entry in our existing and target markets, including lengthy sales cycles, the need to demonstrate complex precision optical and electro-mechanical engineering and manufacturing capabilities to a prospective customer and the ability to protect a customer's intellectual property," and that qualification of a program "may take three to six months or longer to complete." On the limiting side, the same filing shows the protection does not reach price: gross profit was 12.0% of revenues in FY2026 against 12.1% in FY2025 and 12.4% in FY2024 even as revenue rose 35.7% to $4.64 billion, four customers each exceeded 10% of revenue (Cisco 19.9%, NVIDIA 16.3%, Nokia 10.7%, Amazon 10.5%), and "reliance on a small number of customers gives those customers substantial purchasing power and leverage in negotiating contracts with us." Sales are made on "individual purchase orders that have short lead times and are subject to revision or cancellation," so the qualified program is sticky while the contract is not.

Semtech’s FY2026 10-K (fiscal year ended January 25, 2026) supports a narrow moat and no more. On the durable side, it owns the LoRa® radio franchise - “our LoRa® devices and wireless radio frequency technology” - which IoT Analytics’ LPWAN Market 2024 release (https://iot-analytics.com/wp-content/uploads/2024/03/INSIGHTS-RELEASE-LPWAN-Market-2024.pdf) ranks first outside China at 41% of LPWAN connections, and it argues that scarce analog talent “has historically made it more difficult for new suppliers in the analog market to quickly develop products and gain significant market share.” On the limiting side, the same filing says its patents do not “create definitive competitive barriers to entry”, that average selling prices “have historically decreased rapidly”, that some customers “can stop incorporating our products into their own products with limited notice to us and suffer little or no penalty”, and that customers in China (including Hong Kong) were 47% of fiscal 2026 net sales. The record is uneven: its income statement shows gross profit of $296,250 thousand on net sales of $868,758 thousand in fiscal 2024, $456,528 thousand on $909,287 thousand in fiscal 2025 and $542,144 thousand on $1,049,975 thousand in fiscal 2026, and the 10-K says difficulties “have adversely impacted” its ability to realise the benefits of the Sierra Wireless acquisition.

Moat type intangibles ip

The tracker locates the advantage in proprietary probe technology. TrendForce's Part 1 report (2026-06-23, https://www.trendforce.com/research/download/RP260623JC3) says 'MEMS has become the mainstream probe process; proprietary tip alloy formulas are now the key differentiator for current capacity and longevity'. FormFactor's own example is SmartMatrix, its full-wafer contactor for high-bandwidth memory (HBM). On the Q1 2026 call (https://www.fool.com/earnings/call-transcripts/2026/04/29/formfactor-form-q1-2026-earnings-transcript/), management called it 'FormFactor's differentiated Smart Matrix full wafer contactor technology'. The consumable-tip model TrendForce describes is a recurring-revenue feature of the product rather than a separate lock-in, so intangibles/IP is the better-supported moat source.

switching costs

The 10-K locates the stickiness in qualification rather than in patents or scale. Customers "do not purchase our services until they qualify the services and satisfactorily complete factory audits and vendor evaluations"; qualification "may take three to six months or longer"; production is transferred "copy-exact: the setup of a production process identical to the one used by our customer"; and the filing's own experience of changing a component source is that it "resulted in our customers or their end customers requiring requalification and validation of components, a process that can often be lengthy and has negatively impacted the timing of our revenue" — the same friction a customer would face moving the program elsewhere. The filing rules out an IP-based moat itself: "Historically, patents have not played a significant role in the protection of our proprietary rights," and any process improvement developed for a customer's product is "immediately assigned to that customer." The Thailand cost base is a genuine advantage but the filing warns it is not durable on its own — "Wage increases may impact our ability to sustain our competitive advantage and may reduce our profit margin."

The defensible assets the 10-K describes are intellectual: the LoRa® radio technology, analog and mixed-signal design expertise - “The development of IP and the resulting proprietary products is a critical success factor for us” - and 303 U.S. and 541 foreign patents. The filing itself discounts the patent part (“we do not believe they create definitive competitive barriers to entry”), which leaves the moat in proprietary technology and scarce design know-how rather than in scale or lock-in: Semtech outsources most manufacturing, sold 74% of fiscal 2026 net sales through independent distributors, and its customer agreements “do not require them to purchase a minimum quantity of our products”.

Leadership co leader

TrendForce's Part 2 report (2026-06-26) names 'FormFactor, Technoprobe, and MJC' as the dominant suppliers and says 'Total revenue is forecast to surge sharply in 2026, with Technoprobe poised to overtake FormFactor as the top global supplier', which implies FormFactor holds the top rank now and that TrendForce expects it to lose that rank. In logic, the rival reports a large position. Technoprobe's May 2026 company presentation (https://www.technoprobe.com/wp-content/uploads/2026/05/Technoprobe-Company-Presentation-May-2026.pdf, citing Yole's Q3 2024 test consumables monitor) gives Technoprobe 'Market Share: 34%' of the $1.6 billion 2024 logic probe card market and 60% of the $937 million MEMS logic probe card market. TrendForce gives no percentage for FormFactor. A shared front rank, with the overall lead forecast to pass to Technoprobe, is co-leadership.

The leadership claim in the filing is the company's own qualitative assessment: "We believe we are a leader in manufacturing products for the optical communications market," and, on breadth of process technology, "Based on our experience with customers and our qualitative assessment of our capabilities, we believe we provide a broader array of process technologies to the optics industry than any other manufacturing services provider." The same Item 1 names a crowded field against it — "Benchmark Electronics, Inc., Celestica Inc., InnoLight Technology (Suzhou) Ltd., Jabil Inc., Sanmina Corporation, Venture Corporation Limited and Eoptolink Technology Inc., Ltd., as well as the internal manufacturing capabilities of our customers" — and no independent share ranking is given, so the record supports front-of-field standing but not sole primacy.

LoRa, the technology Semtech owns, leads outside China; elsewhere Semtech is contesting the front rank. IoT Analytics’ March 21, 2024 release states “When excluding all LPWAN data from China, LoRa has the leading share of global LPWAN connections at 41%—more than double NB-IoT’s share”, though “Globally, NB-IoT has the largest share of LPWAN connections at approximately 54%” and “LoRa’s share of LPWAN connections is decreasing”. In data-center optics, management said on the fiscal Q2 2027 call (TradingKey machine transcript, https://www.tradingkey.com/news/transcripts/262131465-tradingkey) that at “800 gig, we had the market share about 18%. So over the 2 years, we have grown the market share well over 50% for 800 gig”, a company figure; an independent September 2024 newsletter (Deep Fundamental) had instead named Marvell and MACOM “the dominant players” in drivers and TIAs and said Semtech “has struggled to keep pace since the transition to 200G”. A third-party lead measured at the technology level rather than as Semtech’s own share, a company-reported share that the only independent view contradicts, and no ranking for its other lines do not evidence co-leadership, so the band is fast follower.

Pricing power moderate

Gross margin sat near 39-40% for three years, per TradingPilot's fundamentals record from the FY2025 10-K ($258.6M on $663.1M, $307.9M on $763.6M and $308.9M on $785.0M for FY2023-FY2025). It then jumped. The Q2 2026 results release (https://seekingalpha.com/pr/20600102, 2026-07-29) reports GAAP gross margin of 50.7%, against 38.4% in Q1 2026 and 37.3% in Q2 2025, and guides Q3 2026 to 52.0% plus or minus 1.5%. Management attributes the gain to cost and yield rather than price. On the Q1 2026 call it said 'pricing really is not a driver of the gross margin improvement. It's COGS reduction and our operations team continuing to improve yields and cycle times'. TrendForce describes consumable probe tips as 'a high-margin hardware subscription model'. Margins are higher now, but FormFactor itself does not credit price for the improvement.

Gross profit was 12.0% of revenues in FY2026, 12.1% in FY2025 and 12.4% in FY2024 — flat to down across three years in which revenue grew from $2.88 billion to $4.64 billion — and the FY2026 increase in gross profit is attributed to "sales volume and product mix," not price. Item 1 says so directly: "we expect the prices we charge for our manufactured products to decrease over time (partly as a result of competitive market forces)," with the offset coming from cycle-time, mix, yield and material-cost work rather than from rate. The risk factors add that customer consolidation gives buyers "increased leverage that may result in, among other things, decreases in our average selling prices," and that new competition "could result in price reductions for our services, reduced gross profit margins or loss of market share."

The 10-K describes a market where prices fall: “In the past, we have reduced the average selling prices of our products in anticipation of future competitive pricing pressures”, and Semtech’s products “are typically differentiated in performance but are priced competitively”. Margins have nonetheless climbed with the data-center mix: the fiscal Q2 2027 release (https://www.sec.gov/Archives/edgar/data/0000088941/000008894126000028/smtc-07262026x8k991.htm) reports GAAP gross margin of 53.8% against 52.1% a year earlier and guides fiscal Q3 adjusted gross margin to 58.3% +/- 100 bps, or 63.9% excluding the business held for sale. The release does not separate price from mix.

Summary

FormFactor makes probe cards, the consumable interfaces used to test chips at wafer level, for foundry and logic customers and for DRAM including HBM. It also has a Systems business, whose co-packaged-optics probing products management said on the Q1 2026 call were ramping. TrendForce's June 2026 probe card reports name FormFactor, Technoprobe and MJC as the dominant suppliers. They say MEMS probes are now mainstream, with 'proprietary tip alloy formulas' the key differentiator. They describe consumable probe tips as 'a high-margin hardware subscription model', with order visibility stretching 'from one quarter to up to two years'. FormFactor is benefiting: Q2 2026 revenue was $258.2 million, up 31.9% year over year, and GAAP gross margin was 50.7% against 37.3% a year earlier. On the Q1 2026 call, management said a second HBM customer was increasing adoption of SmartMatrix, and that networking probe cards had made a leader in high-performance compute a 10% customer. The limits are competitive. TrendForce forecasts that Technoprobe will overtake FormFactor as the top global supplier in 2026, and says Taiwanese suppliers CHPT, MPI and WinWay are gaining share. Technoprobe's May 2026 presentation, citing Yole, puts its own share at 34% of the 2024 logic probe card market and 60% of MEMS logic probe cards.

Fabrinet is the neutral outsourced factory for complex photonics. The FY2026 10-K describes a business that wins on qualification and IP hygiene rather than on product ownership: a "factory-within-a-factory" that physically segregates each customer's engineers and floor space, copy-exact line transfers, Telcordia-grade environmental qualification, and a claim that "there is no other manufacturing services provider with a similar breadth and depth of optical and electro-mechanical engineering and process technology capabilities that does not directly compete with its customers in their end-markets." That neutrality is claimed as a belief, not demonstrated — the filing's own framing is "we believe" — and Item 1 names the field it is measured against without characterising any of them: "Benchmark Electronics, Inc., Celestica Inc., InnoLight Technology (Suzhou) Ltd., Jabil Inc., Sanmina Corporation, Venture Corporation Limited and Eoptolink Technology Inc., Ltd., as well as the internal manufacturing capabilities of our customers." Once a program is qualified it tends to stay, and "in many cases, we are the sole outsourced manufacturing partner used by our customers for the products that we manufacture for them." What the moat does not buy is margin. Revenue grew 35.7% in FY2026 to $4.64 billion on the AI-datacenter build-out — data center products are now 47.9% of revenue — yet gross margin slipped to 12.0%, and Item 1 concedes the company expects "the prices we charge for our manufactured products to decrease over time." The two live erosion paths are named in the risk factors: customer consolidation that "may result in, among other things, decreases in our average selling prices," and customers who "acquired the capacity to manufacture products in-house." Concentration cuts both ways this year — FY2025 had two customers above 10% of revenue, FY2026 had four, so the book broadened even as its scale grew.

Semtech is an analog and mixed-signal chipmaker being reshaped around two franchises. The first is AI data-center connectivity in its Signal Integrity segment - FiberEdge TIAs and drivers for optical transceivers and CopperEdge redrivers for active copper cables - whose net sales the FY2026 10-K reports at $322,608 thousand in fiscal 2026 against $177,033 thousand in fiscal 2024; the March 2026 HieFo acquisition added foundries that make devices for data-center interconnects. The second is LoRa, the long-range, low-power radio that IoT Analytics ranks as the leading LPWAN technology outside China. Around them sit protection devices, sensing and power products, and the IoT Systems business inherited from Sierra Wireless, whose cellular-module unit Semtech has agreed to sell to Compal Electronics for US$62 million (ABI Research, September 9, 2026, https://www.abiresearch.com/market-research/insight/7788486-compal-electronics-takes-semtechs-mantle-t). Momentum is strong: the fiscal Q2 2027 release reports record net sales of $341.9 million, up 33% year over year, and management said data-center revenue hit a record $100 million in the quarter. But the 10-K is frank about limits - rapid ASP erosion, customers that can drop its parts with little notice, 47% of sales to China, competitors that are “much larger and better resourced than we are”, and patents that do not bar entry. Proprietary technology in two growing niches, rather than a locked-in customer base, makes the moat narrow.

Chain position

A wafer-test consumables supplier between chipmakers and tester makers. Its customers include HBM and DRAM makers and foundry/logic chip designers. TrendForce's Part 1 report (2026-06-23) says 'Advantest and Teradyne have taken stakes in Technoprobe, FormFactor, and MJC, signaling accelerated vertical integration ahead.'

A contract manufacturer sitting between optical components and the network and AI-datacenter OEMs whose brands ship the finished box. FY2026 revenue is 47.9% data center, 33.3% communications infrastructure and 18.8% automotive, industrial and other markets (FY2025: 46.2% / 30.7% / 23.1%), with Cisco, NVIDIA, Nokia and Amazon each above 10% of revenue. Fabrinet also integrates one layer down, designing and fabricating its own customized optics and glass — crystals, ferrules, precision glass tubing — at Fuzhou, China and Mountain Lakes, New Jersey, both for its own assemblies and for the merchant market, while volume manufacturing runs from the Pinehurst and Chonburi campuses in Thailand.

Semtech sells mostly through independent distributors (74% of fiscal 2026 net sales) to OEMs. In AI data centers its FiberEdge and CopperEdge parts go into the optical transceivers and active copper cables that module and cable makers build, and the 10-K says hyperscale cloud providers “are generally our indirect customers”. Two customers took 14% and 11% of fiscal 2026 net sales, and customers in China (including Hong Kong) 47%.
