Modine's FY2026 Form 10-K (fiscal year ended 31 March 2026, filed 2026-05-27 as EDGAR accession 0001104659-26-066795; read from the copy on Modine's investor-relations site) describes competitive markets and no structural protection. It says "Most of our products are sold in competitive markets", that "pricing pressures from our customers and pricing actions of our competitors" may "require us to adjust the prices of products to stay competitive", that it experiences "competition from companies in other parts of the world that enjoy economic advantages, such as lower labor costs", and that if it cannot differentiate with technology "we may experience price erosion, lower sales, and lower profit margins." Stored fundamentals from Modine's 10-Ks show gross profit of $365.5 million on $2,212.7 million of revenue in fiscal 2019 and $389.4 million on $2,297.9 million in fiscal 2023; the FY2026 10-K reports gross margin of 24.9 percent for fiscal 2025 and 23.0 percent for fiscal 2026, and the Q1 fiscal 2027 release (2026-07-29) reports 20.8 percent. Customers are concentrated: the ten largest were 49 percent of fiscal 2026 net sales and "one global technology customer" about 11 percent. The strongest counter-evidence is in data centres, where on the Q4 fiscal 2026 call (https://s205.q4cdn.com/270741342/files/doc_financials/2026/q4/Modine_Transcript-Q4-FY26.pdf) the CEO announced an agreement under which "we will guarantee capacity to supply more than 4 billion of data center cooling products during calendar years 2027 through 2029"; but that is a capacity commitment to one existing customer, and the CFO added "Short of an LTA, we don't have multiyear POs. And what this one did is it gave us a really high confidence in a big portion of our two-, three-year outlook." Fast growth in a capacity-short market, without a protected position or a durable margin premium, is not shown to be a moat, so the band is none.

Cipher (renamed Cipher Digital Inc. on 20 February 2026) holds signed, credit-supported leases but has not yet shown that they amount to a durable advantage. Its 2025 Form 10-K (filed 2026-02-24) says "Through the end of 2025, our revenue has been derived from mining bitcoin". Its Q2 2026 business update (2026-08-04, Exhibit 99.1, https://www.sec.gov/Archives/edgar/data/1819989/000181998926000038/q226_earningsxprxdraftxvf.htm) reported "Q2 2026 Revenue of $25 million", and its first HPC rent began only in August 2026 at Black Pearl. The 10-K's own risk factors describe a contested market. They say "There has been an increasing number of businesses constructing HPC data centers, which has resulted in increasing competition and pricing pressure that may cause us to reduce our pricing in order to remain competitive", that "our data centers are single-tenant properties", and that lessees "will have the right to terminate the lease if there are significant delays in the completion of construction". At Barber Lake, where the 10-K targeted Phase I delivery "by September 30, 2026", a September 2026 amendment, made "In connection with change orders and the continued evolution of tenant requirements", moved data-hall deliveries to the fourth quarter of 2026 through the first quarter of 2027. Under it, Cipher "will bear the first $359.3 million of costs in excess of the initial budgeted amount" (2026-09-25). There is real counter-evidence: a 15-year Amazon lease, a Google-backstopped Fluidstack lease whose contracted life a "leading AI lab" extended to 20 years, and a third lease with an investment-grade hyperscale tenant. Until that capacity is delivered and paying rent, though, a moat is not shown, so the band is none.

Powertech is a leading outsourced memory back-end provider, but its returns are modest and follow the memory cycle. TrendForce (2026-01-12, citing Economic Daily News) calls it 'the world's leading testing and packaging provider for DRAM and NAND' and reports that, at Powertech, Micron's product and capacity changes have 'shifted more testing and packaging work to external partners'. TrendForce's 2024 OSAT ranking (2025-05-13) puts Powertech fifth worldwide with $2.28B in revenue, against $920M for eighth-placed Hana Micron and $710M for tenth-placed ChipMOS. The limits show in the 2025 annual report. Revenue rose 2.20% to NT$74.929 billion, but gross profit fell 9.02% and net income attributable to the parent fell 18.45%. Return on equity was 10.10%, after 12.07% in 2024. Margins recovered in the 2026 memory upturn: the 2Q26 consolidated statements show gross profit at 22% of net sales, against 16% a year earlier. A scale lead in a cyclical service business, with returns that swing with memory demand, supports a narrow moat.

Moat type none

No moat source is demonstrated in the filings. The 10-K says "our business as a whole is not materially dependent upon any particular patent or license, or any particular group of patents or licenses", although Item 1A says intellectual property "plays an important role in maintaining our competitive position in a number of the markets we serve." Switching costs are the closest candidate: the 10-K says customers ask Modine, "as well as their other primary suppliers", for R&D, design and validation support, and on the Q1 fiscal 2027 call (https://s205.q4cdn.com/270741342/files/doc_financials/2027/q1/Modine_-Transcript-Q1-FY27.pdf) the CEO described a product designed with a specific hyperscaler "in probably the third iteration of the design cycle". But the same 10-K says "Generally, we supply products to our customers on the basis of individual purchase orders received from them", that long-term sales agreements are "typically three to five years in duration", and that its 80/20 pricing strategy "may result in a lower overall win rate for new business", which describes contestable rather than locked-in business. Scale is not claimed as an advantage either: the company competes with "many manufacturers of heat transfer and HVAC&R solutions, some of which are divisions of larger companies". The type is none.

No moat source is demonstrated yet. Switching costs are the most likely candidate, since the leases are long (15 years at Black Pearl; Barber Lake now a 20-year contracted life) and each site has a single tenant. But the 10-K says tenant guarantees "will only be effective after rent commencement under such leases and are subject to certain limitations", and by August 2026 rent had begun at only one site. The advantages the 10-K claims are the company's own. It speaks of "industry-leading expertise in originating and securing industrial-scale, greenfield data center sites" and of securing West Texas land "on more favorable terms than in more established data center markets". The same document says "there is significant competition for power capacity and energized facilities". Intellectual property is modest: "four granted United States patents and one issued patent in Taiwan". With 66 full-time employees, Cipher has no scale advantage over the competitors it names: CoreWeave, Digital Realty, Equinix, Vantage Data Centers and Aligned Data Centers.

switching costs

The advantage rests on long, embedded relationships with memory makers. The 2025 annual report says IC manufacturers choose 'long-term partnership with assembly, packaging and testing service providers due to confidentiality in product technology, product quality and production process'. It names Kingston Group and Taiwan Toshiba Semiconductor among its major shareholders, 'facilitating solid reputation and stable customer base'. The customer list is stable. The largest customer took 21.08% of 2025 revenue (20.74% in 2024) and the second, a related party, 19.88% (21.98%), with 'No significant change' given as the reason. TrendForce (2025-11-10, citing Economic Daily News) describes 'close partnerships with major memory manufacturers across DRAM, NAND Flash, and HBM packaging and testing'. Cost scale is the other candidate: the report lists 'low production costs' among its advantages, but no source quantifies a cost gap against peers.

Leadership fast follower

The 10-K gives no share or rank and names no competitor; it says only "We compete with many manufacturers of heat transfer and HVAC&R solutions, some of which are divisions of larger companies." The independent view is Dell'Oro Group's 3Q 2025 data center physical infrastructure release (2025-12-10, https://www.delloro.com/news/data-center-physical-infrastructure-market-expands-18-percent-y-y-in-3q-2025/), which grouped Modine with rising entrants: "Emerging competitors continued to gain momentum, with Aaon scaling its data center thermal business by an order of magnitude within a few quarters, supported by a very healthy backlog as hyperscalers broaden their supplier base. Modine also strengthened its position, securing notable hyperscale wins that reinforce its rising relevance in large AI campus deployments." On the Q4 fiscal 2026 call the CEO said "From a market demand standpoint, we're in a great competitive position", which is the company's own view. A supplier gaining ground with hyperscalers, described by a tracker as of rising relevance rather than as a leader, is a fast follower.

No independent share or rank was found. The 10-K names CoreWeave, Digital Realty, Equinix, Vantage Data Centers and Aligned Data Centers as competitors, along with miners that have "signed leases with hyperscalers and HPC tenants": Hut 8, IREN, TeraWulf, Core Scientific and Applied Digital. Cipher has signed hyperscale-grade tenants (Amazon; Fluidstack with a Google backstop; a third investment-grade hyperscaler) but delivered its first HPC capacity only in August 2026 (Q2 2026 update). That makes it a fast follower. Its self-description as "a leading developer, owner, and operator of industrial-scale data centers" is the company's own claim and is not counted.

Scoped to outsourced memory packaging and test. TrendForce (2026-01-12, citing Economic Daily News) calls Powertech 'the world's leading testing and packaging provider for DRAM and NAND'. TrendForce (2025-11-10, citing the same newspaper) calls it 'the world's leading memory packaging and testing provider' and 'Taiwan's second-largest OSAT provider'. Both rest on one newspaper's description; no source gives a memory OSAT share figure or measures a gap over peers, so the band is co_leader rather than clear_leader. In TrendForce's 2024 ranking (2025-05-13) it is fifth overall at $2.28B, behind ASE at $18.54B, Amkor, JCET and Tongfu, so its lead is in memory, not in OSAT as a whole. In AI advanced packaging it is a challenger to TSMC.

Pricing power weak

The filing describes price as something Modine defends rather than sets. Item 1A says "Our sales levels and margins could be adversely affected by pricing pressures from our customers and pricing actions of our competitors", and that its 80/20 pricing strategy, with "clear, strategic profit margin targets for new sales", "may result in a lower overall win rate for new business." Cost recovery is mechanical and lagged: contract adjustments are "limited to the underlying cost of the material", "typically do not include related metals premiums or fabrication costs", and can take "a three-month to one-year lag"; on the Q4 fiscal 2026 call the CFO said "we'll recover tariffs through surcharges and mitigate increasing metals prices with pricing mechanisms in our customer contracts." The fiscal 2025 margin gain in Climate Solutions came "primarily due to favorable sales mix and the favorable impact of commercial pricing settlements"; company gross margin then fell 190 basis points to 23.0 percent in fiscal 2026 and was 20.8 percent in Q1 fiscal 2027 (https://s205.q4cdn.com/270741342/files/doc_financials/2027/q1/Modine-Reports-First-Quarter-Fiscal-2027-Results.pdf). On the Q1 fiscal 2027 call the CEO said the company is "taking decisive pricing actions to offset inflationary cost increases, including materials and tariffs", which is cost recovery, not evidence of a price premium.

The 10-K says competition "has resulted in increasing competition and pricing pressure that may cause us to reduce our pricing in order to remain competitive". It adds that if customers cut usage "we may be compelled to lower our prices or risk losing a significant customer". At Barber Lake, Cipher agreed to absorb "the first $359.3 million of costs in excess of the initial budgeted amount", with the tenant reimbursing "50% of any such costs above that amount" (2026-09-25, Exhibit 99.1, https://www.sec.gov/Archives/edgar/data/1819989/000181998926000043/barberlakeleaseamendmentpr.htm). Its one input-cost edge is specific to mining: Odessa's power costs about 2.8 c/kWh under the Luminant contract, available "until at least July 2027". A landlord that concedes cost overruns to its tenants has weak pricing power.

Pricing power appears in tight markets and fades in loose ones. TrendForce (2026-01-12) reports that Powertech led Taiwanese memory OSAT price rises of 'up to 30%' as utilization neared full. The 2Q26 statements show gross profit at 22% of net sales against 16% in 2Q25, and 21% against 16% for the first half. In 2025, by contrast, gross profit fell 9.02% while revenue rose 2.20%. The annual report lists 'Erosion of Gross Profit by Increasing Material Cost' among its hindering factors, with responses centred on inventory and cost reduction.

Summary

Modine makes thermal management products in two groups, per its FY2026 10-K: Climate Solutions (data centre cooling, heat transfer coils and coatings, refrigeration and power-generation coolers, and HVAC heating and indoor-air-quality products) and Performance Technologies (heat exchangers and cooling modules for vehicles, off-highway equipment and generator sets). Data centre products rose to 35 percent of fiscal 2026 net sales from 25 percent; they include chillers, dry coolers, precision air handling units, CRAC and CRAH units, fan walls, rear-door heat exchangers, coolant distribution units and immersion solutions, sold to hyperscale, colocation, NeoCloud and edge customers. Fiscal 2026 net sales were $3.2 billion, up 23 percent, and on the Q4 fiscal 2026 call the CEO said data centre sales "increased 73% to 1.1 billion" and announced a capacity agreement covering "more than 4 billion of data center cooling products during calendar years 2027 through 2029" with an existing customer. Modine plans to spin off Performance Technologies and combine it with Gentherm, which it expects to close by the end of calendar 2026, leaving a data centre and commercial HVAC company. An independent tracker, Dell'Oro Group (2025-12-10), described Modine among "emerging competitors" that "strengthened its position, securing notable hyperscale wins". The limits are in the 10-K and recent results: most products are sold "in competitive markets" under customer pricing pressure, the ten largest customers were 49 percent of sales, no single patent is material, and gross margin was 23.0 percent in fiscal 2026 and 20.8 percent in Q1 fiscal 2027, when the Data Centers segment's gross margin fell 960 basis points to 20.2 percent on capacity expansion costs and supply shortages. Strong demand and customer co-design are real, but the filings show no protected position or margin premium, so Modine is rated as having no moat.

Cipher built bitcoin mining data centres in Texas and is now developing single-tenant AI and HPC campuses for lease to hyperscalers. Its 10-K reports a portfolio of "4.2 gigawatts ("GW") of capacity across 10 sites". It lists a 15-year Amazon Web Services lease for about 300 MW of turnkey capacity at Black Pearl and a Fluidstack lease at Barber Lake (300 MW gross) under which Google "has agreed to backstop certain obligations of Fluidstack". It describes bitcoin mining at Odessa on a Luminant power contract at about 2.8 c/kWh. In 2026 it signed a third campus lease "with an investment-grade Hyperscale tenant" (Q1 2026 update, 2026-05-05), delivered first Black Pearl capacity in August "two months ahead of the original schedule" with rent commenced, and fully funded its Stingray development with a bond (Q2 2026 update). On 2026-09-25 it said Barber Lake's contracted life was extended from 10 to 20 years, taking contracted revenue at the site "from $3.8 billion to over $9 billion". The 10-K says Odessa was "the first bitcoin mining data center awarded the Management and Operations, or M&O, Stamp of Approval award from the Uptime Institute", which is independent recognition of how the company operates. Against this, the latest quarter's revenue was still bitcoin mining and fell to $25 million. The 10-K describes growing "competition and pricing pressure", single-tenant concentration, and termination rights for construction delays. The Barber Lake schedule was reset, and Cipher absorbs the first $359.3 million of cost overruns. Cipher's contracted pipeline is substantial, but a competitive advantage is not yet demonstrated, so it is rated as having no moat. That could change to narrow once its leased campuses are delivered and paying rent.

Powertech is a Taiwanese outsourced assembly and test house (OSAT) built on memory. In 2025, packaging services were 61.76% of revenue, testing 13.95%, module services 10.77%, wafer-level testing 8.25% and wafer-level packaging 5.24%. Exports were 58.99% of sales, and three customers took 21.08%, 19.88% and 10.04% of revenue. The memory upturn has lifted the business. TrendForce (2026-01-12) reports that Powertech led memory OSAT price increases of up to 30%, with its DRAM testing capacity 'nearly fully utilized'. 2Q26 net sales were NT$23,115,832 thousand, against NT$18,060,026 thousand a year earlier, with gross profit at 22% of sales. The company is also moving into AI packaging. TrendForce (2025-11-10, citing Economic Daily News) reports that U.S. AI chipmakers turned to Powertech as TSMC's CoWoS capacity tightened, and that its panel-level PiFO process, benchmarked against CoWoS-L, 'has emerged as the industry's top alternative'. TrendForce (2026-05-05, citing Commercial Times) reports 2026 capex raised to NT$50 billion, FOPLP yield at 95%, and mass production slated for the first half of 2027. The verdict is a narrow moat: a leading outsourced memory packager, with sticky memory-maker relationships, but with returns that follow the memory cycle and an AI packaging business still in qualification.

Chain position

Modine supplies facility-level cooling for AI data centres, chiefly chillers and air handling units with a smaller CDU line; on the Q1 fiscal 2027 call the CEO said order growth came from "the three largest customers that we have that are hyperscaler and Neocloud", and the 10-K names one global technology customer at about 11 percent of fiscal 2026 sales.

Cipher develops single-tenant, powered data-centre campuses for hyperscale and AI tenants: Amazon at Black Pearl, Fluidstack (backstopped by Google) at Barber Lake, and an unnamed investment-grade hyperscaler at a third campus. Meanwhile it winds down bitcoin mining.

Downstream assembly and test supplier to memory makers and, increasingly, to logic and AI chip designers. Its major shareholders include Kingston Group and Taiwan Toshiba Semiconductor, per the 2025 annual report.
