Moat rating narrow

Semtech’s FY2026 10-K (fiscal year ended January 25, 2026) supports a narrow moat and no more. On the durable side, it owns the LoRa® radio franchise - “our LoRa® devices and wireless radio frequency technology” - which IoT Analytics’ LPWAN Market 2024 release (https://iot-analytics.com/wp-content/uploads/2024/03/INSIGHTS-RELEASE-LPWAN-Market-2024.pdf) ranks first outside China at 41% of LPWAN connections, and it argues that scarce analog talent “has historically made it more difficult for new suppliers in the analog market to quickly develop products and gain significant market share.” On the limiting side, the same filing says its patents do not “create definitive competitive barriers to entry”, that average selling prices “have historically decreased rapidly”, that some customers “can stop incorporating our products into their own products with limited notice to us and suffer little or no penalty”, and that customers in China (including Hong Kong) were 47% of fiscal 2026 net sales. The record is uneven: its income statement shows gross profit of $296,250 thousand on net sales of $868,758 thousand in fiscal 2024, $456,528 thousand on $909,287 thousand in fiscal 2025 and $542,144 thousand on $1,049,975 thousand in fiscal 2026, and the 10-K says difficulties “have adversely impacted” its ability to realise the benefits of the Sierra Wireless acquisition.

Third-party estimates put Disco's world share far ahead of any rival, and its own results show that share earning exceptional returns that have lasted for years. Gendai Business (Kodansha, 2025-12-30, https://gendai.media/articles/-/161100) puts Disco's world share at 70-80% in each of grinders, polishers and dicers. TechNews (2025-12-16), in an article built on a Nikkei report about new laser saws, says in its own closing paragraph, without attributing the figure to Nikkei, that Disco holds about 80% of semiconductor cutting equipment, and Morningstar's company profile estimates 60%-70% of the dicing and grinding industry as of 2025. The FY2025 results (2026-04-22) show gross profit margin of 70.1%, after 70.6% in FY2024 and 67.8% in FY2023, plus an operating income margin of 42.3% and ROE of 25.1%. The four-year cumulative ordinary income margin was 41.4%, which the FY2025 financial review (https://www.disco.co.jp/eg/ir/library/doc/fr/fr20260422.pdf) says met Disco's goal of 20% or more 'for 10 consecutive years'. The technology risk Disco names on its risk-factor page (https://www.disco.co.jp/eg/ir/mginfo/risk.html) is a new method that could replace its core tooling: 'If a processing technology emerges to challenge precision diamond tooling in the future', its performance may be adversely affected. It says it is developing laser and plasma processing for materials that are difficult to process with precision diamond tooling. None of the share sources states its methodology.

Cipher (renamed Cipher Digital Inc. on 20 February 2026) holds signed, credit-supported leases but has not yet shown that they amount to a durable advantage. Its 2025 Form 10-K (filed 2026-02-24) says "Through the end of 2025, our revenue has been derived from mining bitcoin". Its Q2 2026 business update (2026-08-04, Exhibit 99.1, https://www.sec.gov/Archives/edgar/data/1819989/000181998926000038/q226_earningsxprxdraftxvf.htm) reported "Q2 2026 Revenue of $25 million", and its first HPC rent began only in August 2026 at Black Pearl. The 10-K's own risk factors describe a contested market. They say "There has been an increasing number of businesses constructing HPC data centers, which has resulted in increasing competition and pricing pressure that may cause us to reduce our pricing in order to remain competitive", that "our data centers are single-tenant properties", and that lessees "will have the right to terminate the lease if there are significant delays in the completion of construction". At Barber Lake, where the 10-K targeted Phase I delivery "by September 30, 2026", a September 2026 amendment, made "In connection with change orders and the continued evolution of tenant requirements", moved data-hall deliveries to the fourth quarter of 2026 through the first quarter of 2027. Under it, Cipher "will bear the first $359.3 million of costs in excess of the initial budgeted amount" (2026-09-25). There is real counter-evidence: a 15-year Amazon lease, a Google-backstopped Fluidstack lease whose contracted life a "leading AI lab" extended to 20 years, and a third lease with an investment-grade hyperscale tenant. Until that capacity is delivered and paying rent, though, a moat is not shown, so the band is none.

The defensible assets the 10-K describes are intellectual: the LoRa® radio technology, analog and mixed-signal design expertise - “The development of IP and the resulting proprietary products is a critical success factor for us” - and 303 U.S. and 541 foreign patents. The filing itself discounts the patent part (“we do not believe they create definitive competitive barriers to entry”), which leaves the moat in proprietary technology and scarce design know-how rather than in scale or lock-in: Semtech outsources most manufacturing, sold 74% of fiscal 2026 net sales through independent distributors, and its customer agreements “do not require them to purchase a minimum quantity of our products”.

Disco's Business page (https://www.disco.co.jp/eg/ir/mginfo/bg_business.html) says its 'greatest strength lies in our four distinct business fields, each interwoven to provide total solutions'. The four are diamond-abrasive consumables, made since 1937, with 'tens of thousands of blades and grinding/polishing wheels in our inventory'; precision processing equipment, most of it 'customized to meet our customers' wide ranging requirements'; application know-how; and after-sales service. The application know-how comes from laboratories, including 70-plus private test booths at the Tokyo head office, where engineers 'perform test cuts with the materials provided by the customer in order to recommend solutions'. The page calls providing 'the best processing results in the form of our processing solutions' 'the core element offered by DISCO'. The June 2026 Top Message (https://www.disco.co.jp/eg/ir/mginfo/message.html) keeps manufacturing in-house as 'a source of technological innovation, market responsiveness, and competitiveness'. The asset is accumulated process know-how spanning tool, machine and processing parameters. The pages cite no patent count.

No moat source is demonstrated yet. Switching costs are the most likely candidate, since the leases are long (15 years at Black Pearl; Barber Lake now a 20-year contracted life) and each site has a single tenant. But the 10-K says tenant guarantees "will only be effective after rent commencement under such leases and are subject to certain limitations", and by August 2026 rent had begun at only one site. The advantages the 10-K claims are the company's own. It speaks of "industry-leading expertise in originating and securing industrial-scale, greenfield data center sites" and of securing West Texas land "on more favorable terms than in more established data center markets". The same document says "there is significant competition for power capacity and energized facilities". Intellectual property is modest: "four granted United States patents and one issued patent in Taiwan". With 66 full-time employees, Cipher has no scale advantage over the competitors it names: CoreWeave, Digital Realty, Equinix, Vantage Data Centers and Aligned Data Centers.

Leadership fast follower

LoRa, the technology Semtech owns, leads outside China; elsewhere Semtech is contesting the front rank. IoT Analytics’ March 21, 2024 release states “When excluding all LPWAN data from China, LoRa has the leading share of global LPWAN connections at 41%—more than double NB-IoT’s share”, though “Globally, NB-IoT has the largest share of LPWAN connections at approximately 54%” and “LoRa’s share of LPWAN connections is decreasing”. In data-center optics, management said on the fiscal Q2 2027 call (TradingKey machine transcript, https://www.tradingkey.com/news/transcripts/262131465-tradingkey) that at “800 gig, we had the market share about 18%. So over the 2 years, we have grown the market share well over 50% for 800 gig”, a company figure; an independent September 2024 newsletter (Deep Fundamental) had instead named Marvell and MACOM “the dominant players” in drivers and TIAs and said Semtech “has struggled to keep pace since the transition to 200G”. A third-party lead measured at the technology level rather than as Semtech’s own share, a company-reported share that the only independent view contradicts, and no ranking for its other lines do not evidence co-leadership, so the band is fast follower.

Third-party estimates agree that Disco leads by a wide margin. Gendai Business (Kodansha, 2025-12-30) puts its world share at 70-80% in each of grinders, polishers and dicers. TechNews (2025-12-16, https://technews.tw/2025/12/16/disco-three-equipment/), in an article built on a Nikkei report, calls it in its own closing paragraph the global leader in semiconductor cutting equipment with about 80%; it does not attribute that figure to Nikkei. Morningstar's profile (https://www.morningstar.com.au/investments/security/fra/D65/summary) calls it 'the world's largest manufacturer of semiconductor-grade saws and grinders' with an estimated 60%-70% share as of 2025. Disco's own IR pages (https://www.disco.co.jp/eg/ir/mginfo/msg_share.html) give no share figure and say growth in scale, 'including sales figures and global shares', 'is not our goal'. None of the articles names its data source.

No independent share or rank was found. The 10-K names CoreWeave, Digital Realty, Equinix, Vantage Data Centers and Aligned Data Centers as competitors, along with miners that have "signed leases with hyperscalers and HPC tenants": Hut 8, IREN, TeraWulf, Core Scientific and Applied Digital. Cipher has signed hyperscale-grade tenants (Amazon; Fluidstack with a Google backstop; a third investment-grade hyperscaler) but delivered its first HPC capacity only in August 2026 (Q2 2026 update). That makes it a fast follower. Its self-description as "a leading developer, owner, and operator of industrial-scale data centers" is the company's own claim and is not counted.

Pricing power moderate

The 10-K describes a market where prices fall: “In the past, we have reduced the average selling prices of our products in anticipation of future competitive pricing pressures”, and Semtech’s products “are typically differentiated in performance but are priced competitively”. Margins have nonetheless climbed with the data-center mix: the fiscal Q2 2027 release (https://www.sec.gov/Archives/edgar/data/0000088941/000008894126000028/smtc-07262026x8k991.htm) reports GAAP gross margin of 53.8% against 52.1% a year earlier and guides fiscal Q3 adjusted gross margin to 58.3% +/- 100 bps, or 63.9% excluding the business held for sale. The release does not separate price from mix.

Gross profit margin was 67.8% in FY2023, 70.6% in FY2024, 70.1% in FY2025 and 71.3% in the April-June 2026 quarter, with a FY2025 operating income margin of 42.3%. Disco attributes the FY2025 dip to 'changes in the product and application mix' and says the margin 'Remained at a high level'. It attributes part of the 1Q FY2026 rise to 'favorable exchange rates' as well as 'high-value-added products'. A company-wide gross margin near 70% across three fiscal years is the pricing evidence; Disco publishes no list-price data.

The 10-K says competition "has resulted in increasing competition and pricing pressure that may cause us to reduce our pricing in order to remain competitive". It adds that if customers cut usage "we may be compelled to lower our prices or risk losing a significant customer". At Barber Lake, Cipher agreed to absorb "the first $359.3 million of costs in excess of the initial budgeted amount", with the tenant reimbursing "50% of any such costs above that amount" (2026-09-25, Exhibit 99.1, https://www.sec.gov/Archives/edgar/data/1819989/000181998926000043/barberlakeleaseamendmentpr.htm). Its one input-cost edge is specific to mining: Odessa's power costs about 2.8 c/kWh under the Luminant contract, available "until at least July 2027". A landlord that concedes cost overruns to its tenants has weak pricing power.

Summary

Semtech is an analog and mixed-signal chipmaker being reshaped around two franchises. The first is AI data-center connectivity in its Signal Integrity segment - FiberEdge TIAs and drivers for optical transceivers and CopperEdge redrivers for active copper cables - whose net sales the FY2026 10-K reports at $322,608 thousand in fiscal 2026 against $177,033 thousand in fiscal 2024; the March 2026 HieFo acquisition added foundries that make devices for data-center interconnects. The second is LoRa, the long-range, low-power radio that IoT Analytics ranks as the leading LPWAN technology outside China. Around them sit protection devices, sensing and power products, and the IoT Systems business inherited from Sierra Wireless, whose cellular-module unit Semtech has agreed to sell to Compal Electronics for US$62 million (ABI Research, September 9, 2026, https://www.abiresearch.com/market-research/insight/7788486-compal-electronics-takes-semtechs-mantle-t). Momentum is strong: the fiscal Q2 2027 release reports record net sales of $341.9 million, up 33% year over year, and management said data-center revenue hit a record $100 million in the quarter. But the 10-K is frank about limits - rapid ASP erosion, customers that can drop its parts with little notice, 47% of sales to China, competitors that are “much larger and better resourced than we are”, and patents that do not bar entry. Proprietary technology in two growing niches, rather than a locked-in customer base, makes the moat narrow.

Disco makes the machines that thin wafers (grinders and polishers) and cut them into chips (blade dicing saws and laser saws), plus the diamond blades and wheels those machines use up. FY2025 (the year to March 2026) net sales were a record 436.9 billion yen, up 11.1%, with operating income of 185.0 billion yen. The results attribute the sales growth to 'an increase in shipments for generative AI'. Demand for 'advanced logic and HBM (High Bandwidth Memory)' stayed high, while power-semiconductor demand was sluggish as EV demand slowed. Grinder shipments rose 17% in FY2025 against 1% for dicers, and IC applications were 76% of fourth-quarter grinder shipments. Consumables were 21% of FY2025 shipments. In the April-June 2026 quarter their sales hit a record 'Due to higher customer facility operation rates and favorable exchange rates', a recurring stream tied to machine usage. In that quarter net sales rose 27.1% to 114.3 billion yen at a 71.3% gross profit margin. Disco discloses forecasts only one quarter ahead because of 'drastic and rapid fluctuations in customer willingness to invest'. Its risk factors name a technology that could 'challenge precision diamond tooling' as a threat to the business.

Cipher built bitcoin mining data centres in Texas and is now developing single-tenant AI and HPC campuses for lease to hyperscalers. Its 10-K reports a portfolio of "4.2 gigawatts ("GW") of capacity across 10 sites". It lists a 15-year Amazon Web Services lease for about 300 MW of turnkey capacity at Black Pearl and a Fluidstack lease at Barber Lake (300 MW gross) under which Google "has agreed to backstop certain obligations of Fluidstack". It describes bitcoin mining at Odessa on a Luminant power contract at about 2.8 c/kWh. In 2026 it signed a third campus lease "with an investment-grade Hyperscale tenant" (Q1 2026 update, 2026-05-05), delivered first Black Pearl capacity in August "two months ahead of the original schedule" with rent commenced, and fully funded its Stingray development with a bond (Q2 2026 update). On 2026-09-25 it said Barber Lake's contracted life was extended from 10 to 20 years, taking contracted revenue at the site "from $3.8 billion to over $9 billion". The 10-K says Odessa was "the first bitcoin mining data center awarded the Management and Operations, or M&O, Stamp of Approval award from the Uptime Institute", which is independent recognition of how the company operates. Against this, the latest quarter's revenue was still bitcoin mining and fell to $25 million. The 10-K describes growing "competition and pricing pressure", single-tenant concentration, and termination rights for construction delays. The Barber Lake schedule was reset, and Cipher absorbs the first $359.3 million of cost overruns. Cipher's contracted pipeline is substantial, but a competitive advantage is not yet demonstrated, so it is rated as having no moat. That could change to narrow once its leased campuses are delivered and paying rent.

Chain position

Semtech sells mostly through independent distributors (74% of fiscal 2026 net sales) to OEMs. In AI data centers its FiberEdge and CopperEdge parts go into the optical transceivers and active copper cables that module and cable makers build, and the 10-K says hyperscale cloud providers “are generally our indirect customers”. Two customers took 14% and 11% of fiscal 2026 net sales, and customers in China (including Hong Kong) 47%.

Upstream back-end equipment and consumables supplier to chipmakers and packaging houses. In the April-June 2026 quarter, IC applications were 70% of dicer shipments and 79% of grinder shipments, and Asia took 82% of sales: Taiwan 34%, China 27% (including local factories of foreign manufacturers) and Korea 11%.

Cipher develops single-tenant, powered data-centre campuses for hyperscale and AI tenants: Amazon at Black Pearl, Fluidstack (backstopped by Google) at Barber Lake, and an unnamed investment-grade hyperscaler at a third campus. Meanwhile it winds down bitcoin mining.
