The FY2025 20-F Competition section cuts both ways: UMC calls itself "one of the world's largest independent semiconductor foundries" with production capacity "currently among the largest of all semiconductor foundries in the world" and says it believes it competes favorably with competitors on each principal element of foundry competition, yet in the same section concedes that "[s]ome of our competitors have substantially greater production, financial, research and development and marketing resources than we have" and that "several new dedicated foundries have commenced operations and compete directly with us," whose entry is "likely to initiate a trend of competitive pricing and create potential overcapacity in legacy technology" that "may erode our profit margins." A real but bounded advantage, not a durable wide one.

Cipher (renamed Cipher Digital Inc. on 20 February 2026) holds signed, credit-supported leases but has not yet shown that they amount to a durable advantage. Its 2025 Form 10-K (filed 2026-02-24) says "Through the end of 2025, our revenue has been derived from mining bitcoin". Its Q2 2026 business update (2026-08-04, Exhibit 99.1, https://www.sec.gov/Archives/edgar/data/1819989/000181998926000038/q226_earningsxprxdraftxvf.htm) reported "Q2 2026 Revenue of $25 million", and its first HPC rent began only in August 2026 at Black Pearl. The 10-K's own risk factors describe a contested market. They say "There has been an increasing number of businesses constructing HPC data centers, which has resulted in increasing competition and pricing pressure that may cause us to reduce our pricing in order to remain competitive", that "our data centers are single-tenant properties", and that lessees "will have the right to terminate the lease if there are significant delays in the completion of construction". At Barber Lake, where the 10-K targeted Phase I delivery "by September 30, 2026", a September 2026 amendment, made "In connection with change orders and the continued evolution of tenant requirements", moved data-hall deliveries to the fourth quarter of 2026 through the first quarter of 2027. Under it, Cipher "will bear the first $359.3 million of costs in excess of the initial budgeted amount" (2026-09-25). There is real counter-evidence: a 15-year Amazon lease, a Google-backstopped Fluidstack lease whose contracted life a "leading AI lab" extended to 20 years, and a third lease with an investment-grade hyperscale tenant. Until that capacity is delivered and paying rent, though, a moat is not shown, so the band is none.

FY2025 10-K (Item 1, Competition; filed 2026-01-23) calls the entertainment-video market 'intensely competitive and subject to rapid change,' with rivals holding exclusive content rights, 'large content libraries, and significant financial, marketing and other resources' and low member switching friction (members 'can change their plans at any time'). The offsetting durable advantage is monetized scale: the Q2 2026 shareholder letter (2026-07-16) guides 2026 revenue to $51.0-$51.4B at a 31.5% operating margin for an audience 'approaching 1B people' — a content budget and margin structure no pure-play streaming rival matches.

The 20-F states plainly that "Our success depends on our ability to obtain patents, licenses and other intellectual property (IP) rights covering our production processes and activities," and reports more than 16,700 patents worldwide as of December 31, 2025, of which more than 7,490 are in the U.S., 623 domestic and foreign patents granted in 2025 alone, NT$17,725 million of R&D (7.5% of operating revenues) and 1,591 R&D professionals. The Competition section names where UMC believes it wins: it competes favorably "particularly [on] our technical competence and research and development capabilities." The proprietary specialty-process library, not scale or a network, is the cited source of the advantage.

No moat source is demonstrated yet. Switching costs are the most likely candidate, since the leases are long (15 years at Black Pearl; Barber Lake now a 20-year contracted life) and each site has a single tenant. But the 10-K says tenant guarantees "will only be effective after rent commencement under such leases and are subject to certain limitations", and by August 2026 rent had begun at only one site. The advantages the 10-K claims are the company's own. It speaks of "industry-leading expertise in originating and securing industrial-scale, greenfield data center sites" and of securing West Texas land "on more favorable terms than in more established data center markets". The same document says "there is significant competition for power capacity and energized facilities". Intellectual property is modest: "four granted United States patents and one issued patent in Taiwan". With 66 full-time employees, Cipher has no scale advantage over the competitors it names: CoreWeave, Digital Realty, Equinix, Vantage Data Centers and Aligned Data Centers.

Content and technology spend is amortized across the industry's largest paid streaming membership base: the Q2 2026 shareholder letter (2026-07-16) reports members watched 97B+ hours in H1 2026 for an audience approaching 1B people, with Q2 operating margin of 33% — scale that lets Netflix outspend rivals on programming per subscriber dollar. A secondary intangibles layer sits on top: the FY2025 10-K (Item 1) says Netflix regards its copyrights, trademarks and the original content it produces as 'important to our success.'

Leadership fast follower

UMC describes a deliberate follow strategy in the 20-F: it intends "to avoid investments in technologies that do not present commercial potential for volume production" and believes "it is beneficial to defer investment in premature equipment needed to claim the earliest advanced technology and instead to purchase more advanced and less expensive versions of such equipment from vendors who design this equipment based on pre-production lessons learned from the earliest technology." The node ladder bears this out: the most advanced process in production in 2025 is Fab 12A's 0.014 micron, wafers at 14 nanometers and under rounded to 0.0% of wafer sales in each of 2023, 2024 and 2025, and the next rung — UMC's own 12nm FinFET process, which Intel replicated in 2025 "based on our electrical design rules and UMC-verified process" for manufacture at its Arizona fab — is only "expected to begin in 2027."

No independent share or rank was found. The 10-K names CoreWeave, Digital Realty, Equinix, Vantage Data Centers and Aligned Data Centers as competitors, along with miners that have "signed leases with hyperscalers and HPC tenants": Hut 8, IREN, TeraWulf, Core Scientific and Applied Digital. Cipher has signed hyperscale-grade tenants (Amazon; Fluidstack with a Google backstop; a third investment-grade hyperscaler) but delivered its first HPC capacity only in August 2026 (Q2 2026 update). That makes it a fast follower. Its self-description as "a leading developer, owner, and operator of industrial-scale data centers" is the company's own claim and is not counted.

The 20-F claims no premium — "our current level of pricing is comparable to that of other leading foundries in each respective geometry" — and reports that 2025 average selling price declined 5.4%, driving gross margin down from 32.6% in 2024 to 29.0% in 2025 even as 12-inch-equivalent wafer shipments rose from 3,446 thousand to 3,870 thousand and average capacity utilization improved from 68.7% to 75.2%. It also notes that "[p]rices for wafers of a given level of technology generally decline over the processing technology life cycle."

The 10-K says competition "has resulted in increasing competition and pricing pressure that may cause us to reduce our pricing in order to remain competitive". It adds that if customers cut usage "we may be compelled to lower our prices or risk losing a significant customer". At Barber Lake, Cipher agreed to absorb "the first $359.3 million of costs in excess of the initial budgeted amount", with the tenant reimbursing "50% of any such costs above that amount" (2026-09-25, Exhibit 99.1, https://www.sec.gov/Archives/edgar/data/1819989/000181998926000043/barberlakeleaseamendmentpr.htm). Its one input-cost edge is specific to mining: Odessa's power costs about 2.8 c/kWh under the Luminant contract, available "until at least July 2027". Summary

UMC's durable asset is a proprietary mature- and specialty-node process library — 55/40/28/22nm embedded memory for MCU and automotive, 55/40/28/22/14nm embedded high-voltage for display drivers, 110/55nm BCD for power management, 55/28/22nm BSI-CSI for image sensors and 110/90/55/40nm RF-SOI — backed by more than 16,700 patents worldwide at end-2025 and 7.5% of revenue spent on R&D. That library keeps a concentrated customer base qualified into UMC's fabs (top ten customers were 57.0% of 2025 operating revenues; Texas Instruments, Intel, MediaTek, Realtek and Novatek are named as primary customers). What it does not buy is price: 2025 average selling price fell 5.4% and gross margin fell from 32.6% to 29.0%, while the filing warns that new dedicated foundries are likely to initiate competitive pricing and overcapacity in legacy technology.

Cipher built bitcoin mining data centres in Texas and is now developing single-tenant AI and HPC campuses for lease to hyperscalers. Its 10-K reports a portfolio of "4.2 gigawatts ("GW") of capacity across 10 sites". It lists a 15-year Amazon Web Services lease for about 300 MW of turnkey capacity at Black Pearl and a Fluidstack lease at Barber Lake (300 MW gross) under which Google "has agreed to backstop certain obligations of Fluidstack". It describes bitcoin mining at Odessa on a Luminant power contract at about 2.8 c/kWh. In 2026 it signed a third campus lease "with an investment-grade Hyperscale tenant" (Q1 2026 update, 2026-05-05), delivered first Black Pearl capacity in August "two months ahead of the original schedule" with rent commenced, and fully funded its Stingray development with a bond (Q2 2026 update). On 2026-09-25 it said Barber Lake's contracted life was extended from 10 to 20 years, taking contracted revenue at the site "from $3.8 billion to over $9 billion". The 10-K says Odessa was "the first bitcoin mining data center awarded the Management and Operations, or M&O, Stamp of Approval award from the Uptime Institute", which is independent recognition of how the company operates. Against this, the latest quarter's revenue was still bitcoin mining and fell to $25 million. The 10-K describes growing "competition and pricing pressure", single-tenant concentration, and termination rights for construction delays. The Barber Lake schedule was reset, and Cipher absorbs the first $359.3 million of cost overruns. Cipher's contracted pipeline is substantial, but a competitive advantage is not yet demonstrated, so it is rated as having no moat. That could change to narrow once its leased campuses are delivered and paying rent.

Netflix's advantage is a self-reinforcing scale loop rather than lock-in: the largest paid streaming audience funds the largest content slate, which in turn wins what the 10-K calls 'moments of truth' against every other use of leisure time. The FY2025 10-K is candid that switching costs are low (members can change plans at any time) and that competition spans linear TV, rival streamers, user-generated platforms, gaming and piracy — so the moat is narrow, not wide. What sustains it now is monetization breadth on top of scale: per the Q2 2026 letter, repeated price increases keep landing 'consistent with prior changes and our expectations,' the ads business is on track to roughly double to ~$3B in 2026, live events drove six of the top 10 member sign-up days of the last five years on just over 5% of content spend, and GenAI workflows (used in roughly 300 titles in 2026) are lowering production cost. Nielsen's May 2026 Gauge places Netflix at 8.0% of total US TV time — the largest subscription streamer, though YouTube leads all distributors at 13.8% — which frames the real long-run contest: attention against free, user-generated video, not just against other paid streamers.

Chain position

Mature- and specialty-node wafer supplier: 2025 wafer sales were 41.4% communication, 30.6% consumer and 11.6% computer, with the AI tie indirect — 2.5D silicon interposers with deep-trench capacitors shipped to major customers for HPC, cloud computing and LLM applications.

Cipher develops single-tenant, powered data-centre campuses for hyperscale and AI tenants: Amazon at Black Pearl, Fluidstack (backstopped by Google) at Barber Lake, and an unnamed investment-grade hyperscaler at a third campus. Meanwhile it winds down bitcoin mining.

Consumer-facing distributor at the end of the entertainment supply chain: the FY2025 10-K (Item 1) says revenues are 'primarily derived from monthly membership fees,' and Netflix competes two ways — downstream for viewers' leisure time and upstream 'against entertainment video providers and content producers in obtaining content,' both licensed and original; the ads tier adds a second monetization rail on the same distribution asset.
