Kioxia's FY2025 Annual Securities Report (dated 2026-06-24) describes a real but bounded position. It records 'the limited number of major competitors in the flash memory business', and says its three manufacturing joint ventures with Sandisk let it 'make investments on a larger scale than if it were to invest alone and enjoy economies of scale in terms of capital expenditures and production efficiency'. Against that, the same Risk Factors section describes 'heavy global competition as advanced technologies are necessary for business execution', says 'in the flash memory market the Group's ability to decide prices is limited', that 'Some competitors possess technologies that the Group does not have, such as DRAM' and 'have greater financial strength than the Group', and records that the Group cut production from October 2022 to March 2024. Scale in a small field, not a barrier that protects Kioxia's returns through the cycle.

Graded on the Item 1A text this run could read from the FY2026 10-K, which is where the filing argues hardest against a wide band. It says "each of our segments competes for customers, employees, digital prominence, products and services" with local, regional, national and global physical, eCommerce and omnichannel retailers, social commerce platforms, wholesale club operators, retail intermediaries "and emerging agentic shopping tools and platforms," that "the omnichannel retail landscape is highly competitive and rapidly evolving, and the entry of new, well-funded competitors, or more rapid development of AI capabilities and agentic tools by these competitors ... may increase competitive pressures," and concedes that "for eCommerce and other internet-based businesses, newer or smaller businesses may be better able to innovate and compete with us" and that there "can be no assurance" Walmart can adopt AI "as quickly or effectively as our competitors." It also warns of retail consolidation producing rivals with "improved financial resources, improved access to merchandise, greater market penetration." The filing claims no market share, rank or scale advantage anywhere in the text available here, and its own competitive-landscape discussion sits in Item 1, which the cached read-through returned only as a cross-reference; a wider band would not be sourced.

Semtech’s FY2026 10-K (fiscal year ended January 25, 2026) supports a narrow moat and no more. On the durable side, it owns the LoRa® radio franchise - “our LoRa® devices and wireless radio frequency technology” - which IoT Analytics’ LPWAN Market 2024 release (https://iot-analytics.com/wp-content/uploads/2024/03/INSIGHTS-RELEASE-LPWAN-Market-2024.pdf) ranks first outside China at 41% of LPWAN connections, and it argues that scarce analog talent “has historically made it more difficult for new suppliers in the analog market to quickly develop products and gain significant market share.” On the limiting side, the same filing says its patents do not “create definitive competitive barriers to entry”, that average selling prices “have historically decreased rapidly”, that some customers “can stop incorporating our products into their own products with limited notice to us and suffer little or no penalty”, and that customers in China (including Hong Kong) were 47% of fiscal 2026 net sales. The record is uneven: its income statement shows gross profit of $296,250 thousand on net sales of $868,758 thousand in fiscal 2024, $456,528 thousand on $909,287 thousand in fiscal 2025 and $542,144 thousand on $1,049,975 thousand in fiscal 2026, and the 10-K says difficulties “have adversely impacted” its ability to realise the benefits of the Sierra Wireless acquisition.

Moat type cost scale

The advantage the company itself names is scale and capital efficiency. The Annual Securities Report says the Sandisk joint ventures, which procure the production equipment installed at Kioxia's Yokkaichi and Kitakami plants and 'sell 50% of their products to the Group and 50% to the Sandisk Group', let it 'enjoy economies of scale in terms of capital expenditures and production efficiency'. At its 2026 Investor Day (2026-06-02) management said that 'by leveraging our world-leading economies of scale, we have maintained a lower cost per gigabyte than the industry average', on a slide that cites the TechInsights NAND Market Report Q2 2026 as its source. The filing describes its technology work (layer stacking for BiCS FLASH, the move to QLC) and names 'a decline in competitiveness in production efficiency per gigabyte' as a risk if it falls behind. It does not present that technology as protected IP that rivals cannot match.

What the readable text does describe as durable is physical and logistical scale rather than lock-in or IP. It says Walmart sources "from a wide variety of domestic and international suppliers," that global sourcing is "an important factor in our financial performance," and that finding suppliers able to supply "in the large volumes we may demand" is itself a challenge; it describes a network of stores, clubs and distribution and fulfillment centers in which "many products available for purchase online can be picked up by the customer or member at a local Walmart store or Sam's Club, which provides additional customer traffic at such stores and clubs"; and it lists "supply chain automation and enhancements" among the investments backing the strategy. The first competitive lever it names is "the prices at which we sell our merchandise." The filing offers no intangibles or switching-cost claim beyond noting that protection of its trademarks, copyrights, domain names, patents and trade secrets "may not be available in every jurisdiction."

The defensible assets the 10-K describes are intellectual: the LoRa® radio technology, analog and mixed-signal design expertise - “The development of IP and the resulting proprietary products is a critical success factor for us” - and 303 U.S. and 541 foreign patents. The filing itself discounts the patent part (“we do not believe they create definitive competitive barriers to entry”), which leaves the moat in proprietary technology and scarce design know-how rather than in scale or lock-in: Semtech outsources most manufacturing, sold 74% of fiscal 2026 net sales through independent distributors, and its customer agreements “do not require them to purchase a minimum quantity of our products”.

Leadership at parity

TrendForce's 2Q26 NAND Flash ranking (2026-08-18) puts Kioxia fourth with revenue of about $10.72 billion. Its 13.6% share 'edged down', and it sits behind Samsung (29.3%), SK hynix Group and Micron, which moved up to third. TrendForce's 2Q26 enterprise SSD ranking (2026-09-01) also places it fourth, at $4.64 billion. On technology it is keeping pace: it began sampling the 332-layer 10th-generation BiCS FLASH on 2026-07-03, per its press release. The Annual Securities Report concedes that some competitors 'possess technologies that the Group does not have, such as DRAM' and 'have greater financial strength than the Group'. Kioxia is in the middle of a small group of peers.

The 10-K text available this run asserts no rank or share for Walmart. The band reflects two things the filing does say: that its strategy is meant to let it "maintain or grow our overall market position" across segments that already compete at global scale, and that it does not describe itself as ahead in the channels that matter most to it - "for eCommerce and other internet-based businesses, newer or smaller businesses may be better able to innovate and compete with us," and on AI adoption "there can be no assurance that these investments will deliver the anticipated benefits, or that we will be able to adopt and leverage these technologies as quickly or effectively as our competitors." Treat this band as bounded by the missing Item 1 competition discussion, not as a measured position.

LoRa, the technology Semtech owns, leads outside China; elsewhere Semtech is contesting the front rank. IoT Analytics’ March 21, 2024 release states “When excluding all LPWAN data from China, LoRa has the leading share of global LPWAN connections at 41%—more than double NB-IoT’s share”, though “Globally, NB-IoT has the largest share of LPWAN connections at approximately 54%” and “LoRa’s share of LPWAN connections is decreasing”. In data-center optics, management said on the fiscal Q2 2027 call (TradingKey machine transcript, https://www.tradingkey.com/news/transcripts/262131465-tradingkey) that at “800 gig, we had the market share about 18%. So over the 2 years, we have grown the market share well over 50% for 800 gig”, a company figure; an independent September 2024 newsletter (Deep Fundamental) had instead named Marvell and MACOM “the dominant players” in drivers and TIAs and said Semtech “has struggled to keep pace since the transition to 200G”. A third-party lead measured at the technology level rather than as Semtech’s own share, a company-reported share that the only independent view contradicts, and no ranking for its other lines do not evidence co-leadership, so the band is fast follower.

Pricing power weak

The Annual Securities Report states that 'in the flash memory market the Group's ability to decide prices is limited, and in the medium- to long-term selling prices on a bit basis may decline at a similar pace as in the past'. Current margins follow the market. The first-quarter FY2026 results attribute the revenue jump primarily to 'a significant increase in average selling prices (ASPs) resulting from strong demand from data center customers focusing on generative AI'. Gross profit was ¥1,380,066 million on revenue of ¥1,767,117 million, against ¥71,179 million on ¥342,799 million a year earlier. In the 2026 Investor Day Q&A management said it believes 'market pricing will continue to reflect those supply-demand conditions'.

The filing names price first among the ways it competes - "we compete in a variety of ways, including the prices at which we sell our merchandise" - and states that higher supplier labour and material costs may "adversely impact product margins ... that we are unable, or choose not, to pass on to our customers." It adds that macro conditions can "change the mix of products we sell to any one or more markets with a lower average gross margin" and "result in slower inventory turnover and greater markdowns of inventory." In health and wellness the price is set by counterparties, not by Walmart: "a large majority of our retail pharmacy net sales are generated by filling prescriptions for which we receive payment through established contractual relationships with third-party payers and payment administrators, such as private insurers, governmental agencies and pharmacy benefit managers," exposing it to "reductions in the third-party reimbursement rates for drugs."

The 10-K describes a market where prices fall: “In the past, we have reduced the average selling prices of our products in anticipation of future competitive pricing pressures”, and Semtech’s products “are typically differentiated in performance but are priced competitively”. Margins have nonetheless climbed with the data-center mix: the fiscal Q2 2027 release (https://www.sec.gov/Archives/edgar/data/0000088941/000008894126000028/smtc-07262026x8k991.htm) reports GAAP gross margin of 53.8% against 52.1% a year earlier and guides fiscal Q3 adjusted gross margin to 58.3% +/- 100 bps, or 63.9% excluding the business held for sale. The release does not separate price from mix.

Summary

Kioxia calls itself 'a specialized flash memory manufacturer'. It makes BiCS FLASH 3D NAND at Yokkaichi and Kitakami in Japan through three manufacturing joint ventures with Sandisk, whose output is sold 50% to Kioxia and 50% to Sandisk. FY2025 (year to March 2026) revenue was ¥2,337.6bn: SSD & Storage ¥1,362.6bn, Smart Devices ¥760.0bn and Other ¥215.0bn, with the Apple group alone at 20.4% of sales. Its moat is scale in a concentrated industry. TrendForce ranks it fourth in 2Q26 NAND revenue with a 13.6% share, and in August 2026 the partners announced anticipated investments in Japan of over $31 billion through 2032, contingent on government support. The same filing sets out the limits: limited ability to set prices; rivals that also make DRAM and have more financial strength; China's government-supported push for domestic semiconductor production; and a joint-venture agreement effective until 2034, with no decision yet on whether it continues after that. In the FY2026 10-K text readable this run, Walmart describes an "enterprise strategy, which combines traditional retail, membership models, marketplaces, financial services, health and wellness and other customer and business services into a series of interconnected assets to make it seamless for customers to interact with us," carried by stores, clubs and distribution and fulfillment centers that double as pickup and delivery nodes and by continuing investment in eCommerce, AI and supply chain automation. The filing sets its own limits on that: it calls the omnichannel landscape "highly competitive and rapidly evolving," warns that well-funded entrants and faster AI or agentic tooling by rivals may increase pressure, that smaller businesses may out-innovate it online, and that "a greater concentration of eCommerce sales, including increasing online grocery sales and the increasing role of AI-enabled platforms in product search, discovery, advertising and purchasing, could result in a reduction in the amount of traffic in our stores and clubs." On economics it concedes supplier cost increases it may be "unable, or choose not, to pass on to our customers," and it points investors to "advertising and other higher-margin initiatives (which are expected to help drive our operating income growth at a rate faster than net sales over the long term)" rather than to price.

Semtech is an analog and mixed-signal chipmaker being reshaped around two franchises. The first is AI data-center connectivity in its Signal Integrity segment - FiberEdge TIAs and drivers for optical transceivers and CopperEdge redrivers for active copper cables - whose net sales the FY2026 10-K reports at $322,608 thousand in fiscal 2026 against $177,033 thousand in fiscal 2024; the March 2026 HieFo acquisition added foundries that make devices for data-center interconnects. The second is LoRa, the long-range, low-power radio that IoT Analytics ranks as the leading LPWAN technology outside China. Around them sit protection devices, sensing and power products, and the IoT Systems business inherited from Sierra Wireless, whose cellular-module unit Semtech has agreed to sell to Compal Electronics for US$62 million (ABI Research, September 9, 2026, https://www.abiresearch.com/market-research/insight/7788486-compal-electronics-takes-semtechs-mantle-t). Momentum is strong: the fiscal Q2 2027 release reports record net sales of $341.9 million, up 33% year over year, and management said data-center revenue hit a record $100 million in the quarter. But the 10-K is frank about limits - rapid ASP erosion, customers that can drop its parts with little notice, 47% of sales to China, competitors that are “much larger and better resourced than we are”, and patents that do not bar entry. Proprietary technology in two growing niches, rather than a locked-in customer base, makes the moat narrow.

Chain position

Upstream NAND flash and SSD supplier. The filing says much of its revenue 'depends on a limited number of customers and industries, such as major smartphone manufacturers and large IT companies, including hyperscalers that require SSDs'. The Apple group was 20.4% of FY2025 sales.

A retailer that also intermediates: it sells its own sourced merchandise, hosts third-party marketplace sellers for whom it may provide "fulfillment, inventory management, tax collection, payment processing, content," sells digital advertising against that traffic, dispenses prescriptions under PBM and payer contracts, and offers financial services "including through our digital channels, stores and clubs, as well as our OnePay fintech venture."

Semtech sells mostly through independent distributors (74% of fiscal 2026 net sales) to OEMs. In AI data centers its FiberEdge and CopperEdge parts go into the optical transceivers and active copper cables that module and cable makers build, and the 10-K says hyperscale cloud providers “are generally our indirect customers”. Two customers took 14% and 11% of fiscal 2026 net sales, and customers in China (including Hong Kong) 47%.
